Governance Explanations

Form 990, Part VI, Section A, Line 2

Jay leutenberg and ester leutenberg are married.

Form 990, Part VI, Section B, Line 11

A draft copy of form 990 is provided to each board member for their review prior to filing. The return is only filed after being approved at a board meeting or via electronic communication.

Form 990, Part VI, Section B, Line 12C

All covered members who deal with vendors, beneficiaries, and/or others doing business with the ctf must do so in a manner that avoids the existence or the appearance of a conflict between personal interests and those of the ctf. Covered members should carefully evaluate their relationships as they relate to the ctf's business and operations to ensure that such conflicts do not exist. The existence of an undisclosed conflict of interest may be considered grounds for removal from employment, as an officer or from the board of directors of the ctf. Exceptions to this policy require prior approval of the executive committee of the ctf. Exceptions granted by the executive committee shall be reported to the board of directors. The organization is implementing a policy to require annual written statements regarding the conflict of interest policy.

Form 990, Part VI, Section B, Line 15A

The executive director's salary is determined by the board by comparing salaries of functionally similar positions in other area non-profit organizations. The last salary increase was given on november 28, 2008. A review of wages for the executive director and business manager was done by a board member may 2011.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

Fin 48 (asc 740) footnote from financial statements: gaap requires management to perform an evaluation of all tax positions taken or expected to be taken in the course of preparing the organization's tax returns to determine whether the tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. This evaluation is required to be performed for all open tax years, as defined by the various statutes of limitations, for federal and state purposes. The organization is only subject to income taxes on ubti as applicable. As a result, the organization is required to file informational returns for federal and state purposes and, if it has ubti, federal and state income tax returns. With limited exceptions, the organization is no longer subject to tax examination for any years earlier than 2011 for federal and 2010 for state. Management has performed its evaluation of tax positions taken on all open tax returns and has determined that there were no positions taken that do not meet the "more likely than not" standard.
