“The organization has two classes of membership, general membership is held by entities, other than state, local or county governmental agencies, who have an interest in the real estate development objectives of the organization. Each general member must identify one individual as its representative primary member association. Membership is held by one state, local and county government or quasi-governmental entities having jurisdiction over the real estate development industry in the valley of the sun, and two trade organizations relating to the real estate development industry in the valley of the sun. Each association membership is approved or ratified from time to time by the board of directors. Each association member must identify on individual as its representative primary member.”

“All membership classes vote on the board of directors. Elections are done on a one member one vote basis.”

“Amendments to the organizations bylaws can be made by approval from the membership body.”

“The executive director and the director of finance review the form 990 prior to filing the 990.”

“At each board and committee meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from this discussion if there could be a perceived conflict of interest. The chairperson of the board or committee, if appropriate, will appoint a qualified person or committee to investigate alternatives to the proposed transaction or arrangement annually, the board and organizational officers review and discuss the conflict of interest policy and request that each board member list and acknowledge any known conflicts.”

“The executive committee reviews the compensation for all officers by comparing their compensation to the compensation of individuals in like positions in comparable organizations, using compensation studies, and other available data. The committee then approves any changes in compensation based on this information.”

“The organization will provide in a timely manner, copies of all governing documents including its conflict of interest policies and financial statements when requested in writing or in person.”
