“The organization has 2 classes of membership. General membership is held by entities, other than state, local or county governmental agencies, who have an interest in the real estate development objectives of the organization. Each general member must identify one individual as its representative primary member association. Membership is held by one state, local and county government or quasi-governmental entity having jurisdiction over the real estate development industry in the valley of the sun trade organizations relating to the real estate development industry in the valley.”

“Amendments to the organizations bylaws can be made by approval from the board of directors.”

“Form 990 is reviewed and approved by the financial consultant, treasurer and the ceo prior to filing.”

“At each board and committee meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from the discussion if there could be a perceived conflict of interest. The board or committee chair, if appropriate, will appoint a qualified person or committee to investigate alternatives to the proposed transaction or arrangement. Annually the board and organizational officers review and discuss the conflict of interest policy and request that each board member disclose any known potential conflicts.”

“The executive committee reviews the compensation for all officers by comparing to the compensation of individuals in similar positions in comparable organizations, using compensation studies and other available data. The board then approves any changes in compensation based on this information.”

“The organization will provide in a timely manner, copies of all governing documents including its conflict of interest policies and financial statements when requested in writing or in person.”
