“Evp has adopted a code of ethics and conflict of interest policy to give guidance to its directors, officers, and employees. Evp's policy is to conduct its activities in accordance with the highest standards and to avoid even the appearance of impropriety. Evp has prepared a statement that each director, officer, and employee should complete annually. At the start of each meeting of the board of directors or of an evp committee, the chair of the meeting should remind participants of this code and invite the disclosure of conflicts of interest relating to matters on the meeting agenda. Participants should disclose any conflicts of interest, so that those participating in the meeting may take into account the conflict of interest during their deliberations. If a participant becomes aware of a conflict of interest when a matter is raised or discussed, the participant should disclose the conflict of interest promptly after he or she becomes aware of it. A director who has a conflict of interest on a matter may not participate in the discussion of the matter and may not vote on the matter. The minutes of the meeting should reflect the disclosure made, the director's abstention from voting and participation on the matter, and the quorum situation in light of the director's disqualification. If the chair has a conflict of interest on a matter brought before the meeting, the chair should follow the same process for disclosure and non-participation as any other director. In addition, when a matter on which the chair has a conflict of interest comes before the meeting the chair will transfer responsibility for presiding over the meeting to the next ranking officer who does not have a conflict of interest for the duration of the discussion and vote on the matter.”

“The current ceo was hired in november/december 2015. The ceo's compensation was based on the search committee gathering input from comparable organizations in the region and throughout the state. Compensation was reviewed by members of the search committee during meeting(s) to determine ceo's compensation for the upcoming year. Board minutes are kept regarding the discussion and approval of the ceo's compensation package.”

“The organization has adopted a policy of preparing its financial statements on the modified cash basis of accounting which is a comprehensive basis of accounting other than u.s. Generally accepted accounting principles. Under the cash basis of accounting, only cash transactions are recognized in revenues and expenses. Modifications to the cash basis of accounting include the accounting for in-kind services between members. The in-kind services include printing and distribution of promotional materials and travel services that the organization records as prepaid expenses and revenue at the estimated fair market value when the members renew their annual membership until the time that the services are used.”
