Under terms of the agreement, the organization is to operate as an affiliate of dpi, and thus dpi controls the organization. In connection with the services and collaboration agreement, dpi gained possession of all assets, rights, and privileges of the organziation as well as assumed responsibility for all of the liabilities and obligations of the organization. The organization's activities were incorporated into those of dpi, and a services agreement was entered into between the organization and dpi.”

“The form 990 is prepared by an outside accounting firm and is reviewed by president/ceo prior to being filed. The board will review at the next board meeting after filing.”

“At each board and committee meeting, if there is a discussion of selecting or engaging a vendor or service provider, all in attendance are asked to recuse themselves from this discussion if there could be a perceived conflict. Annually, the organization reviews and dscusses the conflict of interest policy and requests that each board member list and acknowledge any known conflicts.”

“The executive committee reviews the compensation for all officers and key employees by comparing their compensation to the compensation of individuals in like positions in comparable organizations using forms 990, compensation studies, and other available data. The committee then approves any changes in compensation based on this information.”
