Governance Explanations

Members shall consist of those who desire to further the purposes of the organization and who pay dues established by the board of trustees. The members shall have no voting rights whatsoever in their capacities as members of the organization.

The form 990 is prepared by an outside accounting firm and is reviewed by the chief financial and operations officer and ceo and accepted by the audit committee prior to being filed.

Form 990, Part VI, Section B, Line 12C

Any board member or director, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, is an interested person. Duty to disclose: in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall try to decide if a conflict of interest exists. Each director and board member and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: 1. Has received a copy of the conflicts of interest policy 2. Had read and understands the policy, and 3. Understands the organization is charitable and, in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. To ensure the organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews are conducted.

The chief of staff gathers comparability data related to the salaries of executive officers for the other not-for-profit organizations in the area. The executive committee reviews the data and sets the ceo salary accordingly; the members of the executive committee are independent from the organization and from the ceo. The president and ceo gather comparability data related to the salaries of vp's for the other not-for-profit organizations in the area and sets the salaries accordingly.

Financial Statement Notes

PART III, LINE 1A:

The arizona science center purchased the assets of the phoenix history museum on october 8, 2009. Under the purchase agreement, arizona science center will continue to display the collection within a 5,400 square feet of artifacts and exhibits related to the cultural and historical development of the city of phoenix. The organization elected not to capitalize the collection in accordance with fasb asc 958-360, not-for-profit entities- property, plant, and equipment.

PART V, LINE 4:

Arizona science center's endowments consist of six donor-restricted funds and a board desginated fund. The donor restricted funds are for exhibit and program renewal, while the board designated fund is established for future capital expenditures, improvements and major maintenance projects.

PART X, LINE 2:

The organization recognizes uncertainty in income taxes in the consolidated financial statements when it is more likely-than-not that the positions will not be sustained upon examination by the tax authorities. As of june 30, 2019, the organization had no uncertain tax positions that qualify for either recognition or disclosure in the consolidated financial statements.

ARIZONA SCIENCE CENTER FEATURES A FULL COMPLEMENT OF INFORMAL SCIENCE PROGRAMMING INCLUDING MORE THAN 300 HANDS-ON EXHIBITS, A GIANT SCREEN THEATER, DORRANCE PLANETARIUM, FEATURED EXHIBITIONS, LIVE DEMONSTRATIONS, CAMPS AND WORKSHOPS, ADULT LECTURES, AND SCHOOL SERVICES INCLUDING FIELD TRIPS, IN-CLASS OUTREACH PROGRAMS, TEACHER PROFESSIONAL DEVELOPMENT AND ACCESS TO OUR NEW COMMUNITY-BASED MAKER-SPACE, CREATE. ARIZONA SCIENCE CENTER CONTINUED TO BE A STATE LEADER IN PROVIDING INFORMAL SCIENCE EDUCATION EXPERIENCES THAT HAVE LONG-TERM IMPACT ON THE FUTURE OF OUR COMMUNITY. K-12 TEACHERS, SCHOOL LEADERS, AND PARENTS WERE PROVIDED ACCESS TO AN INNOVATIVE COMBINATION OF FORMAL AND INFORMAL PROFESSIONAL DEVELOPMENT RESOURCES TO ENHANCE STUDENT ACHIEVEMENT.ARIZONA SCIENCE CENTER'S ANNUAL VISITATION INCLUDES 140,000 SCHOOLCHILDREN AND TEACHERS REPRESENTING MORE THAN 100 CITIES AND TOWNS THROUGHOUT ARIZONA WHO VISIT THE CENTER, INCLUDING OVER 47,000 UNDERSERVED YOUTH WHO VISIT AT NO CHARGE THROUGH THE FOCUSED FIELD TRIPS PROGRAM. IN ADDITION, MORE THAN 60,000 CHILDREN AND ADULTS EXPERIENCED SCIENCE ON WHEELS OUTREACH PROGRAMS IN SCHOOLS AND COMMUNITY ORGANIZATIONS THROUGHOUT ARIZONA INCLUDING RURAL AREAS AND TRIBAL NATIONS.IN CREATE, A 6,500 - SQUARE FOOT COMMUNITY MAKER-SPACE, LOCATED ADJACENT TO THE SCIENCE CENTER BUILDING, INDIVIDUALS USED TRADITIONAL AND HIGH-TECH MACHINERY, TECHNOLOGY AND MATERIALS. GUESTS RECEIVED SUPERVISION AND TRAINING, ENCOURAGING INDIVIDUALS TO BE MORE EXPERIMENTAL, CREATIVE, INNOVATIVE, INDEPENDENT AND TECHNOLOGICALLY PROFICIENT. THE CREATE PROGRAMS WERE WHERE MAKING THINGS, EXPERIMENTING AND COLLABORATING WITH OTHERS WAS AT THE CORE OF SCIENCE EDUCATION AND INVENTION, AND THE MAKERS WERE ACTIVE, ENGAGED, PLAYFUL AND RESOURCEFUL WITH A NEWLY DEVELOPED SENSE OF CURIOSITY AND WONDER WITH NEW SKILLS AND AN INTRODUCTION TO OCCUPATIONS FOR WHICH THEY MAY BE SUITED.
