“The executive committee is comprised of the president, president-elect, treasurer, secretary and immediate past president. The executive commitee has the authority to act between meetings of the board of directors as necessary. All actions of the executive committee are minuted and reported to the board of directors at its next regular meeting.”

“Members of the organization are legal professionals. There are three classes of membership: active, honorary, and affiliate. Honorary and affiliate members have no voting rights attached to their class of membership.”

“All active members of the association have the right to elect the members of the board of directors otherwise, the board has all rights of management, voting, and operation.”

“A copy of the form 990 will be provided to all governing board members and reviewed by the executive committee prior to submission.”

“The conflict of interest policy covers the board of directors. Conflict of interest forms are annually distributed to the board, collected, and monitored by the executive director and kept on file in the offices of the mcba. If any conflict were to arise the board would address the conflict in accordance with the policy based on the specific facts and circumstances involved which can include restrictions on participation and vote on transactions with conflicts.”

“Compensation of the executive director is based on a review of goals achieved, tenure, and success within the organization and is reviewed and approved by the executive committee. The organization does not have any other top management officials, officers, or key employees that receive compensation.”

“The organization's governing documents, conflict of interest policy and financial statements are available upon request.”
