Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended on september 6th, 2019. The following updates were made: -board members shall be elected by the existing board for three-year terms, and no member shall serve more than three consecutive terms. -the ceo, coo and cfo are now officers of the organization. Their duties, responsibilities and terms of office are outlined in the bylaws.

Form 990, Part VI, Section B, Line 11B

The complete form 990 is emailed as a pdf to the full board of directors, with a hard copy if requested. They are given several days to review the document and respond with questions or comments. When the deadline is reached and no questions or comments are raised, the form 990 is considered to be approved by the board. The form 990 is then filed.

Form 990, Part VI, Section B, Line 12C

The organization requires all directors and officers to sign an annual statement of conflict of interest. The statement affirms the individual has read and understands the policy and has agreed to comply with it. Any conflicts are disclosed on the statement and reviewed by the board of directors annually per the policy. An actual or potential conflict of interest occurs when an employee is in a position to influence a decision that may result in a personal gain for that employee or for a relative as a result of wnpa's business dealings. For the purposes of the policy, a relative is any person who is related by blood or marriage, or whose relationship with the employee is similar to that of persons who are related by blood or marriage. Personal gain may result not only in cases where an employee or relative has a significant ownership in a firm with which wnpa does business, but also when an employee or relative receives any kickback, bribe, substantial gift (gifts valued at $100 or more), or special consideration as a result of any transaction or business dealings involving wnpa. No "presumption of guilt" is created by the mere existence of a relationship with outside firms. However, if employees have any influence on transactions involving purchases, contracts, or leases, it is imperative that they disclose to human resources or a member of wnpa's executive management team as soon as possible, the existence of any actual or potential conflict of interest so that safeguards can be established to protect all parties.

Form 990, Part VI, Section B, Line 15

The board executive committee annually reviews comparative data on compensation from other cooperating associations. This data, along with a performance review, determines executive officer compensation. The executive director/ceo and human resource director/manager evaluate compensation for other officers and key employees by reviewing comparative data on compensation for the local market and from other cooperating associations.

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. In addition, summary financial information taken from the audited financial statements is printed in the annual report and sent to members and it is also available on the company website.

Financial Statement Notes

PART IV, LINE 2B:

Wnpa from time to time acts as a fiscal receiver, receiving funds from outside sources (such as the national parks foundation) to be used for specific projects within specific parks. Wnpa maintains records and processes payments for these services on behalf of the specific park.

PART X, LINE 2:

Financial statements asc 740 footnote: the organization is exempt from federal income taxes under both federal internal revenue code section 501(c)(3) and arizona income tax laws, and is classified as other than a private foundation under section 509(a)(2). Income from certain activities not directly related to the organization's tax-exempt purpose, however, may be subject to taxation as unrelated business taxable income (ubti). From time to time, the organization may be subject to penalties and interest assessed by various taxing authorities, which will be classified as management and general expenses, if they occur.

THE ASSOCIATION'S OUTREACH EVENT OF THE YEAR IS THE SPONSORSHIP OF A NATIONAL PARKS PAVILION AT THE TUCSON FESTIVAL OF BOOKS (TFOB). THE PAVILION PROVIDED THE OPPORTUNITY FOR OVER 20 NATIONAL PARKS FROM THE WESTERN UNITED STATES TO CONNECT WITH OVER 140,000 FESTIVAL ATTENDEES IN 2019. IN CONJUCTION WITH THE FESTIVAL OF BOOKS, WNPA HOSTED AN ESSAY CONTEST ON THE TOPIC OF CLIMATE CHANGE IN NATIONAL PARKS FOR LOCAL HIGH SCHOOL STUDENTS. IN ADDITION TO TFOB, VOLUNTEERS AND STAFF PARTICIPATED IN 10 COMMUNITY OUTREACH EVENTS INCLUDING TUCSON MEET YOURSELF AND THE AZ NATIONAL PARKS FESTIVAL. WNPA PROVIDED FUNDING FOR YOUTH ORGANIZATIONS WITH SIMILAR MISSIONS INCLUDING PARKS IN FOCUS, A PROGRAM THAT CONNECTS MIDDLE SCHOOL YOUTH TO NATURE THROUGH PHOTOGRAPHY, ENVIRONMENTAL EDUCATION, OUTDOOR RECREATION, AND CREATIVE EXPRESSION AND IRONWOOD TREE EXPERIENCE, A PROGRAM THAT MAKES IT POSSIBLE FOR YOUNG PEOPLE TO ENGAGE WITH THE NATURAL WORLD AND BE STEWARDS OF THE ENVIRONMENT IN ORDER TO CREATE HEALTHY AND RESILIENT COMMUNITIES.
