Governance Explanations

Form 990, Part VI, Section A, Line 4

Amended and restated bylaws were approved by the board on 02/03/2018. Significant changes include: - directors are elected by a majority of the entire board. - directors shall hold office for a term of three years. - directors may be removed by an affirmative vote of a majority of the entire board. - at each meeting of the board, the presence of at least 50% of the entire board constitutes a quorum for the transaction of business. - the vote of a majority of directors present, if a quorum is present, shall be an act of the board. - in the event that a director is unable to attend a meeting, the director may vote by proxy. - any action required or permitted to be taken by the board or any committee may be taken without a meeting by a consent resolution evidencing approval in writing by a majority of the entire board. - corporate officers shall consist of chair, chair-elect, treasurer, and secretary. - officers shall serve for one year. - the chair may serve two consecutive one-year terms. - no officer shall hold any single office for more than three one-year terms. Exceptions can be made by a vote of the majority of the entire board. - officers may be removed by a vote of a majority of the entire board. - officers may resign by giving 30 days written notice to the board. Amended and restated articles were approved by the board on 02/03/2018. Significant changes include: - the board shall have not less than 20 directors. - the articles may be amended and the corporation dissolved by the vote of two-thirds of the directors.

Form 990, Part VI, Section B, Line 11B

The review of form 990 is delegated by the board to the audit committee of arizona's children association prior to signature and filing. After the audit committee reviews and approves the form 990 a copy is provided to all board members prior to filing.

Form 990, Part VI, Section B, Line 12C

During new board member initiation, the conflict of interest policy is reviewed and a disclosure form listing any potential conflicts is completed. Annually, board members complete a disclosure form and sign an acknowledgment that they have received, read, understood, and will comply with the policy. Additionally, should a board member have a conflict of interest, the board member excuses him/herself from discussion and voting on the matter. The agency also has a conflict of interest policy for its employees which is read by each employee during new employee orientation and upon any changes in the policy. Additionally, an employee completes a conflict of interest policy which is maintained in his/her human resources file. Employees are periodically reminded to notify agency of any potential conflicts of interest.

Form 990, Part VI, Section B, Line 15

A compensation sub-committee of the executive committee of the board evaluates the ceo annually against agreed upon performance goals and duties contained in a written job description. The sub-committee also utilizes the child welfare league of america's national compensation survey and other related national compensation surveys for like positions and responsibilities. The ceo makes a recommendation annually to the executive committee for compensation of the members of the organization's executive leadership team. The ceo evaluates the executive leadership team against agreed upon performance goals and duties contained in written job descriptions. The ceo also utilizes cwla compensation and other appropriate compensation surveys in her determination of compensation. The executive committee then either approves or modifies the ceo recommendation.

Form 990, Part VI, Section C, Line 19

The organization publishes an annual report which contains the consolidated audited financial statements. The annual report is distributed to donors, volunteers, board members, and any other interested party upon request. The annual report is also published on the website. Governing documents and conflict of interest policy are available on request. Form 990 is available upon request, or at www.guidestar.org.

PART V, LINE 4:

Permanent endowments are to be held in perpetuity and invested such that the related investment income generated is used to support operations of the organization.

PART X, LINE 2:

Part x, line 2 - fin 48 (asc 740) footnote: azca and foundation are exempt from federal income taxes under both federal (internal revenue code section 501(c)(3)) and arizona income tax laws, and are classified as other than a private foundation under internal revenue code sections 509(a)(2) and 509(a)(3). Income from certain activities not directly related to the organization's tax-exempt purpose, however, may be subject to taxation as unrelated business taxable income (ubti). Gaap requires management to perform an evaluation of all tax positions taken or expected to be taken in the course of preparing the organization's tax returns to determine whether the tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. This evaluation is required to be performed for all open tax years, as defined by the various statutes of limitations, for federal and state purposes. The organization is required to file informational returns for federal and state purposes and, if it has ubti, federal and state income tax returns. Management has performed its evaluation of tax positions taken for all open tax years and has determined that there were no positions taken that do not meet the "more likely than not" standard. From time to time, the organization may be subject to penalties and interest assessed by various taxing authorities, which will be classified as management and general expenses, if they occur.

IRS990/Desc0BEHAVIORAL HEALTH AND SPECIALTY SERVICE PROGRAMS PROVIDE A WIDE CONTINUUM OF BEHAVIORAL HEALTH SERVICES TO CHILDREN AND FAMILIES. OUR STRENGTH-BASED SERVICES ASSIST INDIVIDUALS AND FAMILIES IN HEIGHTENING SOCIAL-EMOTIONAL WELL-BEING AND GUIDING THOSE THAT HAVE BEEN IMPACTED BY TRAUMA AND ABUSE THROUGH THE HEALING PROCESS. PROGRAMS PROVIDE SUPPORT AND INTERVENTION FOR CHILDREN AND THEIR FAMILIES TO ADDRESS CURRENT NEEDS AND STRENGTHEN THE FAMILY UNIT. OUTPATIENT SERVICES ARE DESIGNED TO BE A SHORT TERM INTERVENTION THAT CAN ASSIST IN DEVELOPING THE SKILLS AND SUPPORTS NEEDED TO INCREASE INDEPENDENCE AND RESILIENCY. WE UTILIZE THE CHILD AND FAMILY TEAM (CFT) PROCESS, AND INCORPORATE THE PRINCIPLES FROM THE ARIZONA VISION. SERVICES INCLUDE INTAKE ASSESSMENTS, CASE MANAGEMENT, COUNSELLING, RESPITE, SKILLS TRAINING, PEER SUPPORT GROUPS, FAMILY SUPPORT SERVICES, BEHAVIORAL MANAGEMENT SERVICES, PARENTING SUPPORT/TRAINING, SCHOOL SUPPORT, BIRTH-5 SERVICES, AND PSYCHIATRIC SERVICES. 15,471 CHILDREN, YOUTH, ADULTS, AND FAMILY MEMBERS RECEIVED OUTPATIENT SERVICES DURING FISCAL YEAR 2017/2018.OUR TRAUMA SPECIALTY SERVICES ARE FOR CHILDREN AND ADULTS WHO HAVE EXPERIENCED SEXUAL TRAUMA IN THEIR LIVES. IN ADDITION TO GENERAL TRAUMA SERVICES, UNDER THE VICTIMS OF CRIME ACT (VOCA) GRANT, WE PROVIDE SERVICES TO INDIVIDUALS AND THEIR FAMILIES WHO ARE VICTIMS OF SEXUAL ABUSE, WITH OR WITHOUT INSURANCE OR WITH PRIVATE INSURANCE, AT NO COST TO THE INDIVIDUAL.OUR LAS FAMILIAS PROGRAM IS THE ONLY ONE IN PIMA COUNTY THAT SPECIALIZES EXCLUSIVELY IN THE TREATMENT OF INDIVIDUALS AND THEIR FAMILIES WHO HAVE EXPERIENCED CHILDHOOD SEXUAL ABUSE. WE PROVIDE A SAFE PLACE FOR SURVIVORS TO GAIN STRENGTH, LEARN COPING SKILLS AND DEVELOP TRUSTING, CARING RELATIONSHIPS. WE RECOGNIZE THAT SEXUAL ABUSE TREATMENT IS NOT JUST FOR THE SURVIVOR, BUT FOR THE ENTIRE FAMILY. THIS PRACTICE PROMOTES HEALING, STRENGTH, TRUST, AND THE ESSENTIAL ELEMENTS OF A NEW BEGINNING.736 SURVIVORS OF SEXUAL ASSAULT OR ABUSE WERE SERVED THROUGH OUR LAS FAMILIAS AND TRAUMA SPECIALTY SERVICES DURING FISCAL YEAR 2017/2018.
