Governance Explanations

Form 990, Part VI, Section B, Line 11B

A draft is reviewed initially by the Executive Director, and then by the Finance Committee of the Board. Once approved, it is then distributed to the Board of Directors for review prior to a Board meeting, at which time the Treasurer responds to any questions or comments.

Form 990, Part VI, Section B, Line 12C

Board members receive "Conflict of Interest Acknowledgement and by signing the acknowledgement, affirm the following:* Understanding of the importance of such policy.* Receipt of a copy of the Foundations conflict of interest policy.* Having read the policy.* Agree to comply with the policy.* Agree that they do not have a financial interest, as defined in the policy, with the Foundation.* Will amend this acknowledgement, during the year if their situation changes.

Form 990, Part VI, Section B, Line 15A

The Finance Committee of the Board of Directors, composed of the Treasurer and at least one additional board member, all of whom are unrelated to the Executive Director, reviews and approves compensation and other terms of employment for the Executive Director. In considering appropriate compensation for the Executive Director, the Finance Committee reviews salary data for comparable positions at similarly sized not-for profit entities in Santa Fe. The Executive Committee of the Board of Directors also conducts an annual review of the performance of the Executive Director. The results of the Finance Committees compensation considerations of the Executive Director are discussed at a board meeting when considering the next years fiscal budget.

Financial Statement Notes

Part II, Line 9: Organization Reporting of conservation easements.

Historic Santa Fe Foundation does not have any value of the conservative easements reported on our financial statements. Expenses related to monitoring the easements are reported as program expenses in the financial statements.

Part III, Line 4: Description of organization'S collections and how it furthers its purpose.

The collection consists of paintings, sketches, and photographs. The various pieces in the collection are archival from: 1) the 1920s and 30s when Dorothy Stewart, artist, was active at El Zagun or, 2) have been given to the Foundation by resident artists or artists showing in Foundation exhibitions over the years. The collection reflects the cultural history of the Santa Fe area in subject or importance of the artist.

Refinished historic lime wash coatings on main structures Zaguan corridor and portal covered areas. Repairs to historic brick paver bedding and rodent intrusion mitigation. Earthen plaster re-coating on areas of main structures north face. 2. Continued implementation of El Zagun Master Plan in phased and budgeted steps. Phase II was completed, allowing the history interpretation center to open.3. Further revision and implementation of Master Plan for the garden and outdoor spaces with volunteer gardeners at the garden at El Zagun, 545 Canyon Road. Engagement with the Santa Fe Extension Master Gardeners for ongoing maintenance of the garden.4. Continued to refine process for monitoring and management of all preservation easements held by the Foundation. Annual visits and inspections with owners of existing easements held by the foundation were made.

Salons included Dominic Cappello about the 100% New Mexico model to transform New Mexico into a place where every New Mexican can thrive, Lisa Nordstrum on New Mexico Historic Women Marker Program, Phil Hawes on his architecture in Santa Fe and the Southwest, Nicholas Hall on the history of El Rey Motel, Karla McWilliams on the history and architecture of the Bataan Memorial Building, Larry Crosby and Leslie Zane on the history of the Santa Fe Opera, Christian Waguespack on early 20th Century gay and lesbian artists, State Historian Rob Martinez on alabados, alabanzas, inditas, and corridos, Ethan Ortega on protecting cultural resources on State trust land, Kyle Maier spoke on Eva Scott Fenyes, and Dr. Alysia Abbott spoke on the Guadalupe Cemetery.2. Presented along with the City of Santa Fe Historic Preservation Division and the Old Santa Fe Association the Heritage Preservation Awards in May 2024 at San Miguel Chapel, 401 Old Santa Fe Trail. Produced an advertisement with local paper for the awards. 3. Presented the Architectural Stewardship Award in 2024 to the Amelia Hollenback House, 901 Camino San Acacio in recognition of the great care and effort, planning, design, and execution of the renovation and remodels of their house.4. Held monthly art exhibitions for El Zagun resident artists and invited outside artists. Exhibitions included a joint exhibition with Tamarind Institute, Julia Tait Dickenson, Jesse Littlebird, Galisteo Arts Association, Jesse Wood, Max Baptiste, Jesse Blanchard, Dominic Capello, Roland Ostheim. The following artists gave talks: Roland Ostheim, Jesse Littlebird, Max Baptiste, Jesse Wood, and Dominic Capello with a gallery walk-through With Tamarind Institute Director Diana Gaston.5. University of New Mexico graduate student Hayden McAfee completed his work as the Foundations Mac Watson Fellow. He completed his research and writing and the Foundation approved his nomination of the La Farge House. Selected University of New Mexico graduate student Ryuichi Nakayama as the 2025 Foundations Mac Watson Fellow. Under the mentorship of Dr. Audra Bellmore, University of New Mexico professor and curator of the John Gaw Meem archives, Nakayama began to research and write the nomination for the Plaza Balentine Compound.6. Approved and added the listing of the La Farge House to the HSFF register of properties.7. Continued with the online blog with articles from contributing, volunteer writers for dissemination of activities and news of the foundation, including book reviews of new publications of interest on the history, culture, architecture, archeology of the Santa Fe area and Southwest.8. Published two printed newsletters containing substantial articles, interviews, and preservation news.9. Held the annual meeting of Foundation members in the El Zagun garden in June with guests from the Santa Fe Extension Master Gardeners and presentation by Melanie McWhorter on the state of the Foundation and by board directors Greg Walke on the status of the Endangered Properties Program.10. Updated and refined website for the Foundation containing calendars, detailed photographs, and information on all related properties owned, easements, and the register of properties worthy of preservation. 11. IRS990/ProgSrvcAccomActy3Grp/Desc0Preservation Trades Internship1. The Faith and John Gaw Meem Preservation Trades Internship was implemented for a 10-week, 400-hour period. Faith and John Gaw Meem Preservation Trades intern Samantha Crowley, hands-on adobe work at El Zagun, 545 Canyon Road and at Rancho de Las Golondrinas, 334 Los Pinos Road. Projects included working at Las Golondrinas to infill a doorway and work on mud plastering. Additional projects involved replastering the front entrance wall and other areas of El Zagun. Intern learned how to prepare appropriate plaster mixes with the available materials of sand, clay, straw, lime and water and experimented with changes in substrate materials. The Intern was introduced to basic carpentry and tool safety and use. Intern helped to create scaled adobe wooden forms and small-scale adobe production. Other projects included water infiltration mitigation on the historic Randall Davey Art Studio at the Randall Davey Audubon Center & Sanctuary in Santa Fe. Also, lead paint testing and re-priming of Randall Davey Painting Studio ceiling.
