“Hasc is a nonprofit corporation as described in section 501(c)(6) of the internal revenue code (the "code") and clc is a nonprofit corporation as described in section 501(c)(3) of the code. Both organizations are exempt from federal income taxes on related income pursuant to section 501(a) of the code and corresponding provisions of the california revenue and taxation code. Accordingly, no provision for income taxes has been recorded in the accompanying consolidated financial statement related to hasc. Hasc's for-profit subsidiaries file separate federal and state tax returns and recognize deferred tax assets and liabilities for the future consequences attributable to differences between the financial statement carrying amounts of existing assets and liabilities and their respective tax basis. Hasc would recognize the tax benefit from uncertain tax positions only if it is more-likely-than-not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. As of december 31, 2021 and 2020, hasc had no uncertain tax positions requiring accrual.”
