Governance Explanations

Form 990, Part VI, Section B, line 11

Form 990 is prepared and reviewed by an independent CPA firm. The Form 990 is also reviewed and approved by the finance committee and the appropriate accounting personnel and is also emailed to the full board of directors prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Members of the board of directors are required to sign a conflict of interest agreement annually. In signing the form, they certify that either they have no conflicts of interest or that they will promptly disclose any such conflict. Currently the Director of Communications compiles the signed statements, and the CFO/Director of Finance reviews them. Disclosure of potential conflicts is made to the President (or if he is the one with the conflict, then to the Chairman of the Board), who would bring these matters to the attention of the Board. The Board would then determine whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable as to the organization. The decisions of the Board on these matters will rest in their sole discretion, and their first concern must be the welfare of the organization and the advancement of its purposes.

Form 990, Part VI, Section B, line 15

The salary base is determined from the amount paid to a first year Englewood School teacher. To this base, supplements are added for leadership roles, years of graduate education, years of prior experience, years of Cadence experience, and living quarters. For those living outside of CONUS there is a Cost of Living adjustment. The details of this process are found in written Cadence financial policies. The salary for each missionary is individually documented in the form of an individual support calculation.

Part X, Line 2:

The financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the statements of activities. As of May 31, 2015, Cadence had no uncertain tax positions that qualify for recognition or disclosure in the financial statements. Cadence is generally no longer subject to U.S. federal and state income tax examinations by tax authorities for years before 2012.
