Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors has an advisory committee consisting of the chair and vice chair of the board, as well as the ceo. The advisory committee may also include such other board members as the board shall provide. The advisory committee has and exercises the authority of the board of directors in the management of the corporation in the period(s) between meetings of the board, except that it does not have the authority of the board of directors in reference to (a) amending, adopting or repealing the bylaws; (b) electing, appointing or removing any member of any such committee or any director or officer of the corporation; (c) amending the articles of incorporation; (d) restating the articles of incorporation; (e) adopting a plan of merger or adopting a plan of consolidation with another corporation; (f) authorizing the sale, lease, exchange or mortgage of all or substantially all of the property and assets of the corporation; (g) authorizing the voluntary dissolution of the corporation or invoking proceedings therefor; (h) adopting a plan for the distribution of the assets of the corporation; or (i) amending, altering or repealing any resolution of the board of directors which by its terms provides that it shall not be amended, altered or repealed by such committee. Decisions or actions of the advisory committee shall be reported to the board of directors at its next meeting.

Enforcing agency policy on conflicts of interest is the responsibility of the enterprise risk, audit, and finance committee of the board of directors. This committee dedicates one meeting per year to: (1) ensure all conflict of interest statements have been received, (2) ensure conflicts are fully understood and implications discussed and disposition agreed upon, (3) ensure that board members with conflicts, if any, follow policy with respect to voting on matters that they may have a conflict with, and (4) recommend enhancements to existing forms, policies, and training related to conflicts of interest.

Form 990, Part VI, Section B, Line 15

Each year, the board approves the performance goals for the ceo based primarily on the board approved strategic plan. At the end of the year, the board chair completes a performance evaluation. In addition to the performance evaluation, the board is provided data from the most recent guidestar compensation study and/or credible surveys/studies. The board is provided a five year historical wage analysis that breaks down all of the components of comprehensive compensation. Periodically, the agency contracts with an independent organization to conduct a formal compensation study to provide the board with benchmark data and provide independent assurances that compensation is reasonable based on irs guidelines. Finally, the board is provided the breakdown of comprehensive compensation to all officers and key employees that report directly to the ceo. The board convenes to approve compensation that is appropriately comparable per irs guidelines and consistent with the performance evaluations. All components of comprehensive compensation for the ceo, including bonuses to the ceo or officers, are approved by the board prior to payments being disbursed.

Copa health inspires health, hope, and happiness by delivering world class solutions to individuals, families, and communities. With a focus on assisting members to achieve long-term stability, we offer integrated healthcare, employment-related services, day programs, in-home supports, counseling, and affordable housing for individuals and families with complex medical, behavioral and/or long-term care needs. We operate affordable supportive housing including rental housing, residential group homes, community living services, individually tailored living arrangements, adult and developmental homes, and supportive housing services as well as health homes providing integrated health services. Our approach to community development combines physical and behavioral healthcare with social services, helping individuals and families live fuller, healthier lives.

Financial Statement Notes

PART X, LINE 2:

Copa health is organized as an arizona nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3). It qualifies for charitable contributions under section 170. Copa health has been determined not to be a private foundation under section 509(a)(3). The organization is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. Copa health has immaterial amounts of unrelated business taxable income. Therefore, there is no provision in these statements for income taxes for this entity. Management believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The organizations would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
