While a designated person is chiefly responsible for preparing the form 990 a copy of the form 990 is provided to all of the board of directors for their review.

Part VI, Section B, Line 12C

A. All interested persons must disclose the existence of any conflicts of interest. B. After disclosure and discussion of financial interests he she shall leave the meeting while the determination of a conflict of interest is discussed and voted upon. C. 1) An interested person may present to the board but must leave the meeting during the discussion and vote on the conflict. 2) The chairperson of the board can appoint a disinterested person or committee to investigate further. 3) The board shall determine if the Organization can obtain with reasonable efforts a transaction that would avoid a conflict of interest. D. 1) If the board believes a member failed to disclose conflicts of interest it shall inform and afford the member an opportunity to explain the alleged failure to disclose. 2) If the board determines the member failed to disclose an actual or possible conflict of interest it shall take appropriate disciplinary and corrective action.
