Governance Explanations

Power to elect or appoint one or more members of the governing body: the number of directors which shall constitute the whole board shall be not less than four, provided, at all times at least seventy-five percent of the members of the board shall be personselected or appointed by the board of trustees of Stillwater Medical Center Authority (SMCA).

Governance decisions: subject to the foregoing limitation on the minimum number of directors, the board of trustees of SMCA may at any meeting determine the number which shall constitute the board of the corporation and the number so determined shall remain fixed until changed in the same manner.

When a conflict of interest arises, the conflicted person is prohibited from participating in discussions and must abstain from voting with regard to the matter giving rise to the conflict.
