Reporting of conflict of interest: all potential conflicts of interest (including pre-existing conflicts of interest that have not been previously approved or ratified) will be promptly reported to: (i) the executive director; or (ii) the lead director, legal and compliance, as appropriate. (iii) where the conflict arises with respect to the executive director, it will be promptly reported to the med-project usa board of directors ("board") chair. All persons (employed on behalf of med-project) covered by the coi will annually acknowledge that they have either no conflicts or have disclosed/will disclose them by following the coi procedure.”

Per med-project usa bylaws the ex-officio officer positions are reviewed by the executive committee annually. “Med-project usa is exempt from federal income tax under section 501(c)(3) of the internal revenue code. However, income from activities not directly related to med-project usa's tax-exempt purposes, if any, would be subject to taxation as unrelated business income. The eight med-project llcs are considered "disregarded entities" for federal income tax purposes. Their activities and purposes are fully consistent with those of med-project usa, and the activities of the llcs are reported on a consolidated basis with med-project usa's federal information return filing (irs form 990). The llcs are subject to applicable state income taxes as for-profit limited liability companies. Med-project recorded state income tax expense totaling $26,525 for the year ending december 31,2024 included in the jurisdictional fees line of the statement of functional expenses. Med-project's tax returns and filings are subject to review and examination by federal, state, and local authorities for a period of three to four years depending on the jurisdiction.”
