Mission

The mission of second heart homes is to revive the dignity of homeless adults with mental illnesses through housing, support, and love.

To restore dignity and independence to the homeless and mental health population through housing with supportive services. Provide services that enhance the quality of life through wellness checks and target skill building related to job-seeeking, cooking, cleaning, art instruction and community engagement.

Part VI, Question 11b:Our Form 990 was initially prepared by staff and reviewed by two members of our Board of Directors. It was further read through by our CPA.Part VI, Section A, Question 2:Officer/secretary/executive director Megan Howell is the daughter of director Leslie Travis.Ms.Travis does not vote on material matters involving Ms.Howell,including compensation.Part VI,Section B, Question 12c:All directors, officers and key employees are required to annually review our Conflict of Interest Policy. All are required to disclose any potential conflicts of interest to the Board. The Board will then review and approve or disapprove of the activity at a regular scheduled or special meeting.Part VI,Section B, Question 15a and b: The compensation of the Executive Director and key employees is determined by the Board (excluding related family member Leslie Travis for the Executive Director). Compensation is based upon merit and successful outcomes. Performance reviews are utilized for this purpose.Part VI, Section C, Question 19: Second Heart Homes, Inc. makes its governing documents available to the public by providing them to Guidestar and The Giving Partner through the Community Foundation of Sarasota. These are also availablke upon request.

We received a notice from the IRS with the notification that the IRS cannot process our Form 990, return of Organization Exempt from Income Tax for tax period ending Dec. 31.2020, since Form 990 has to be filed electronically. We were not aware of this requirement and that is why we filed a paper return that the IRS acknowledged receiving April 8, 2021 and then subsequently crossed it out. Just like many other 501(c)(3) organizations, the pandemic significantly impacted us, from maintaining employees, finding volunteers, and receiving donations. Our mission houses and support homeless with mental health issues. For us to shut down would've sent these individuals back to the street. With more time we probably would have seen the electronic filing requirement. We simply missed it focusing on daily survival.

David Welle, a Director, maintains a 33 1/3% interest in an LLC that proposed to provide two mortgages to Second Heart Homes allowing the Organization to purchase two homes to carry out their mission. With Mr. Welle recused, the remaining Board members met to discuss the potential benefits and drawbacks in combination with reviewing the Organization's by-laws and Conflict of Interest Policy. Upon review of the facts and cirsumstances of the potential transactions involving Mr. Welle, the remaining Board members unanimously concluded the following: a.) A more advantageous transaction or arrangement was not reasonably attainable under circumstances that would not give rise to a conflict of interest; b.) The transasctions were in the Organization's interest and for its own benefit and the transactions were fair and reasonable to Second Heart Homes; c.)Mr. Welle did disclose a potential conflict of interest to the Board in advance of the remainder of the Board acting on the proposals; d.) Mr. Welle only owned one-third of the LLC that is lending the money for the purchase of the property; e.) Mr. Welle was not the Manager of the LLC that is lending the money; f.) Mr. Welle agreed to donate back the Organization any interest earned by him on both mortgage transactions.The Board's conclusion was that Mr. Welle's involvement in the financing entity did not represent a conflict of interest and the transasctions could proceed.The total of the two mortgage loans was $470,000. Mr.Welle's portion was $156,667.

The Board will then review and approve or disapprove of the activity at a regular scheduled or special meeting.Part VI,Section B, Question 15a and b: The compensation of the Executive Director and key employees is determined by the Board (excluding related family member Leslie Travis for the Executive Director). Compensation is based upon merit and successful outcomes. IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3We received a notice from the IRS with the notification that the IRS cannot process our Form 990, return of Organization Exempt from Income Tax for tax period ending Dec. 31.2020, since Form 990 has to be filed electronically. We were not aware of this requirement and that is why we filed a paper return that the IRS acknowledged receiving April 8, 2021 and then subsequently crossed it out. Just like many other 501(c)(3) organizations, the pandemic significantly impacted us, from maintaining employees, finding volunteers, and receiving donations. Our mission houses and support homeless with mental health issues. For us to shut down would've sent these individuals back to the street. With more time we probably would have seen the electronic filing requirement. We simply missed it focusing on daily survival.
