Governance Explanations

Organizational document changes Part VI line 4

The significant change to the amended and restated Articles of Incorporation and Bylaws added the inclusion of the Samaritan Institute network of affiliated Centers in its purpose. Prior to this it only included the Samaritan Institute. This change will allow the Foundation the broader spectrum of supporting the affiliated Centers as well as the Samaritan Institute.

Conflict of interest policy compliance Part VI line 12C

A copy of the conflict of interest policy is provided to all board members. Members are required to disclose annually in writing any potential conflicts of interest. If a conflict were to arise that board member must abstain from voting on that matter.
