Form 990 is presented to the finance committee by the organization's vice president of finance and admin for review. Once approved by the finance committee, form 990 is provided to the board for review prior to filing.

Conflict of interest policy is monitored by requiring annual affirmation of each member of the board.

Form 990, Part VI, Section B, Line 15A

The compensation committee establishes and maintains a competitive compensation program for the president of the organization, using comparable compensation data from other nonprofit organizations to benchmark pay and other published survey data, when appropriate, from for-profit organizations for specific functional competencies such as law, finance and human resources. Together with data from the comparable local organizations, data from these market segments is used to form a "market composite" to assess the competitiveness of compensation. The committee meets annually to review the compensation program and make recommendations for any changes to the board, as appropriate. The president is responsible for establishing and maintaining a competitive compensation program for all other key executives of the organization. Deliberations and conclusions of both the compensation committee and the board of directors are contemporaneously documented in the respective minutes.

The government affairs program was established in 2017 to coordinate our public policy and advocacy positions with program staff.

Form 990, Part III, Line 3

The air and water quality improvement initiatives of the former "utah's environment" program were expanded into the new air and water quality progran in 2017. Other critical functions of the "utah's environment" program were assimilated into the clean energy, western lands, and healthy rivers programs.

FORM 990, PART III, LINE 4C: PROGRAM SERVICE ACCOMPLISHMENTS

Water program -- this program is working to protect and restore aquatic and riparian ecosystems in the interior west. The water program team is working to break the link between population growth and the demand for new water resources by encouraging investments by municipal water providers in efficiency and conservation measures that reduce per capita water use. In addition, the water team is working with a diverse set of stakeholders to improve flows and habitat in the upper colorado rivers system, to conserve endangered fish species, and to broadly enhance a severely degraded ecosystem. The water program staff is also working to protect and restore the gunnison river system of colorado. Utah offices/projects -- this program specifically acts in the state of utah. Funds are used to deal with issues regarding mining, air quality, grazing rights, keeping yellowstone nuclear free, water rights, etc. The utah program staff is also working to protect and restore the great salt lake.

The endowment is designated to be used for cash reserves and program support. Eoy balance $820,134.

PART X, LINE 2:

The organization applies a more-likely-than-not measurement methodology to reflect the combined financial statement impact of uncertain tax positions taken or expected to be taken in a return. After evaluating the tax positions taken, none are considered to be uncertain; therefore, no amounts have been recognized as of december 31, 2017 and 2016. If incurred, interest and penalties associated with tax positions are recorded in the period assessed as general administrative expense. No interest or penalties have been assessed as of december 31, 2017 and 2016.

THE COLORADO RIVER WILL FLOW TO THE SEA. SPECIFICALLY, THE HEALTHY RIVERS PROGRAM PROMOTES POLICIES AND EFFORTS THAT PRIORITIZE WATER CONSERVATION, WATER RECYCLING AND URBAN-AGRICULTURAL COOPERATION. WE WORK TO MOVE AWAY FROM BUILDING NEW DAMS AND DIVERSIONS THAT DRAIN THE LIFE FROM OUR RIVERS, AND INSTEAD TO USHER IN A NEW ERA OF WATER MANAGEMENT FOCUSED ON INNOVATION, EFFICIENCY AND SHARING RESOURCES. CONTINUED ON SCH O.WITH PARTNERS OF ALL KINDS, WE ARE: (1) PROTECTING MAJOR WESTERN RIVERS AND LAKES, SUCH AS THE GREAT SALT LAKE AND COLORADO RIVER, SO THAT THEY ARE RESILIENT IN THE FACE OF A CHANGING CLIMATE; (2) PREVENTING NEW, LARGE WATER DIVERSION PROJECTS THAT WOULD DECREASE RIVER FLOWS OR LAKE LEVELS, THUS HARMING FISH AND WILDLIFE, RECREATION AND LOCAL ECONOMIES; (3) ESTABLISHING WATER EFFICIENCY AS A TOP PRIORITY IN THE WEST BY WORKING TOWARDS A 10% REDUCTION IN PER PERSON WATER USE BY 2020; AND (4) PROMOTING AGRICULTURAL WATER CONSERVATION OPPORTUNITIES THAT ADVANCE RIVER PROTECTION AND PROVIDE MORE FLEXIBILITY IN MANAGING WATER.

IT ALSO WORKS TO LIMIT ORV USE TO DESIGNATED ROADS AND TRAILS AND TO PROTECT FISH AND WILDLIFE HABITAT AND OTHER VENUES FROM UNCONTROLLED ORV USE. THE WESTERN LANDS PROGRAM WORKS IN A WIDE RANGE OF ADMINISTRATIVE, LEGISLATIVE, AND JUDICIAL FORUMS TO ADVANCE ITS POLICY GOALS.
