Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the current officers of the board. The executive committee is authorized to function on behalf of the board between board meetings. Actions taken by the executive committee in the interim are ratified by the board at its subsequent meeting. The executive committee also performs the planning and evaluation function for the board.

Form 990, Part VI, Section A, Line 4

The organization's bylaws were amended in december 2014. Among the amendments were the following significant changes: 1. The number of board members increased from 11 to 12-15 individuals. 2. The requirement for "consumer members", which are defined as individuals who have used salud for healthcare services at least once in the last 24 months, decreased from 100% of board members to at least 51%. 3. The fort lupton/watternberg area is now represented by 1 director rather than 3 directors. 4. The appointment of board members from the migrant and seasonal farmworker community changed from being optional to being required, with 1-2 board members being from that community.

Form 990, Part VI, Section A, Line 7A

The organization has divided its service area into nine geographic areas. Each geographic area elects one individual to the board of directors by a majority vote of the consumers residing in that geographic area.

Form 990, Part VI, Section B, Line 11

The form 990 is prepared by salud's certified public accounting firm and reviewed by salud's director of accounting and finance. The form 990 is then reviewed by the chief executive officer of salud and then presented to the board of directors at their monthly board meeting for review prior to filing.

Form 990, Part VI, Section B, Line 12C

Salud does have a formal compliance policy administered by the salud compliance committee. The compliance program is presented to all new staff members during new employee orientation. In addition, employees are required to complete annual mandatory compliance training. Salud compliance program details the various methods employees can report an issue they consider to be non-compliant. Any reported instances are reviewed and appropriate action taken by the compliance committee. In addition, an annual compliance report is prepared and presented to salud's board of directors. Salud board members are bound by the code of ethics adopted by the board in regard to conflict of interest or the appearance thereof. On a yearly basis, each board member signs a new conflict of interest statement. If a board member has a potential conflict, they inform the ceo and board chair. If it is unclear whether a conflict exists, the board chair makes the determination. If a board member is deemed to have a conflict, the situation is monitored by the board chair.

Form 990, Part VI, Section B, Line 15A

Salud's compensation for the ceo and other key employees are determined as follows: on an annual basis the director of human resources will obtain wage information from several relevant sources within the health industry. The wage levels are then compared to the wages being paid to assure they are within relative comparable range. The ceo's wage information is presented to salud's compensation committee that consists of four independent directors who then deliberate and approve the ceo's salary. The ceo of salud reviews all other top management wage comparisons.
