“The executive committee shall consist of the chair of the board, the vice chair of the board, the president, the chair of the retirement, thrift and investment committee, the chair of the nominating committee, and the chair of the audit committee. The remaining members of the executive committee shall be appointed at large from the board of directors. The members of the committee shall hold office at the pleasure of the board and, during the intervals between the meetings of the board of directors and subject to the limitations that may be required by law or imposed by resolution of the board of directors, shall have and may exercise all powers and authority of the board of directors in the management of the business and affairs of the corporation.”

“The form 990 is presented to and reviewed with the audit committee by an outside cpa firm. The audit committee recommends approval to the board of directors. The board receives a complete copy of the form 990 prior to approval and filing with the internal revenue service.”

“The conflict of interest policy is distributed annually to the board of directors. This policy is reviewed at the inception of each full board meeting as well as during new board member orientation. In addition to reviewing the policy, each board member is required to annually disclose and sign a form indicating anything they may consider a conflict of interest to management. Should a conflict of interest arise, the board member is instructed to recuse themselves from voting on such matter.”

The president & ceo initially determines compensation for other officers, but prior to implementation, independent members of the executive committee review compensation surveys with data on comparable positions and approve the compensation for the other officers. Compensation surveys are not limited to nonprofit sources. Employment contracts are not utilized. Contemporaneous minutes of the deliberation and decisions are made and entered into the corporate records.”
