Governance Explanations

Form 990, Part VI, Section A, Line 6

The united states maritime alliance, ltd. (usmx), a non-profit, incorporated membership association, represents employers of the east and gulf coast longshore industry. Pursuant to usmx's bylaws, the organization has three classes of members: (i) carriers; (ii) direct employers; and (iii) port associations. Carriers are entitled to nineteen votes, direct employers are entitled to nine votes, and the port association class is entitled to nine votes, regardless of the number of members within each class. Each class must cast all membership votes allocated to them to amount to a total of thirty-seven membership votes.

Form 990, Part VI, Section A, Line 7A

Usmx's members are entitled, as part of their membership, to elect individuals to the usmx board of directors. The carrier class is allowed to elect seven carrier directors. The direct employer class is entitled to elect three direct employer directors. The port association class is entitled to elect three port association directors. The form 990 was prepared by an independent accounting firm in conjunction with the organization's financial department. A copy of the draft form 990 is shared with our attorneys for accuracy and forwarded to the chairman/ceo prior to its filing. The organization does not formally distribute a copy of the form 990 to the full board, but makes it available should any board member request to view it.

The organization has a code of conduct in place to prevent conflicts of interest. If a conflict were to arise, employees of the organization are expected to self-disclose those conflicts to usmx management.

When an executive or key employee position is being considered for hire, a compensation committee is established with the responsibility to ensure that the candidate is within the proper salary range and possesses the skills necessary to perform at a high level. The compensation committee reviews and approves all officer and key employee annual compensation with respect to that compensation. The committee used comparable compensation data for similarly qualified people in functionally comparable positions at similar organizations.

Financial Statement Notes

PART X, LINE 2:

Usmx follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the consolidated financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. Usmx is exempt from federal income tax under irc section 501(c)(6), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the code. Usmx has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated business income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. Usmx has determined that there are no material uncertain tax positions that require recognition or disclosure in the consolidated financial statements.
