Mission

With a focus on business, the decency foundation seeks to put decency's 7 values - respect, understanding, empathy, acceptance, appreciation, fairness and justice - into practice in all areas of living. Nu.ag, the foundation's primary focus, supports, incubates and empowers small individual farms, providing them with long term, below market loans to: increase their economic viability; produce more healthful food; be more decent in their treatment of workers, animals, and the environment; and more fully committed to their local communities. Integral to the foundation's work is nu, a metric it has developed to assess, and then to improve and expand, the ethical practices of the farms and other businesses with which it works.

Form 990, Part III, Line 2

Nu. Ag, the foundation's primary focus, supports, incubates and empowers small individual farms, providing them with long term, below market loans to: increase their economic viability, produce more healthful food, be more decent in their treatment of workers, animals and the environment; and more fully committed to their local communities. Integral to the foundation's work is nu, a metric it has developed to assess, and then to improve and expand, the ethical practices of the farms and other businesses with which it works. During 2020, the foundation formed the decency fund, llc (the "fund"), a pennsylvania corporation of which the foundation is the only member. The fund seeks investments from individuals who share the foundation's stated ideals. In addition to traditional charitable donations, which will be utilized to pay operating and other expenses and reduce the borrowing costs for the foundation's borrowers. Pursuant to this offer, the fund intends to sell promissory notes to identified accredited investors in the form of nu.ag series 1 notes as described in their private placement memorandum. Through its nu.ag program, the fund and the foundation, seek to support food production that is socially responsible, structurally sound, and financially viable. The nu.ag series 1 notes were offered by the fund. The fund will utilize the proceeds from the offering to make a loan to hun val dairy farm (the "farm loan") and to finance associated project management services. The payments received by the fund from the funding of the farm loan shall be used to make principal and interest payments on the nu.ag. Series 1 [hun val] notes series, on a pro rata basis. These notes bear interest at 4% per annum on unpaid principal balance of this nu.ag series i [hun val] unsecured limited recourse promissory note compounded monthly, from the date hereof until due, payable in monthly installments of principal and interest period beginning 6 months after the date of the note and continuing for 174 consecutive months thereafter so that the note is paid in full. The entire principal amount and any other amounts that remain outstanding, whether as principal, interest or otherwise, shall be repaid in full by the fund on such date, which is the final and absolute due date of this note.

DURING 2020, THE FOUNDATION FORMED THE DECENCY FUND, LLC (THE "FUND"), A PENNSYLVANIA CORPORATION OF WHICH THE FOUNDATION IS THE ONLY MEMBER. THE FUND SEEKS INVESTMENTS FROM INDIVIDUALS WHO SHARE THE FOUNDATION'S STATED IDEALS. IN ADDITION TO TRADITIONAL CHARITABLE DONATIONS, WHICH WILL BE UTILIZED TO PAY OPERATING AND OTHER EXPENSES AND REDUCE THE BORROWING COSTS FOR THE FOUNDATION'S BORROWERS. PURSUANT TO THIS OFFER, THE FUND INTENDS TO SELL PROMISSORY NOTES TO IDENTIFIED ACCREDITED INVESTORS IN THE FORM OF NU.AG SERIES 1 NOTES AS DESCRIBED IN THEIR PRIVATE PLACEMENT MEMORANDUM. THROUGH ITS NU.AG PROGRAM, THE FUND AND THE FOUNDATION, SEEK TO SUPPORT FOOD PRODUCTION THAT IS SOCIALLY RESPONSIBLE, STRUCTURALLY SOUND, AND FINANCIALLY VIABLE. THE NU.AG SERIES 1 NOTES WERE OFFERED BY THE FUND. THE FUND WILL UTILIZE THE PROCEEDS FROM THE OFFERING TO MAKE A LOAN TO HUN VAL DAIRY FARM (THE "FARM LOAN") AND TO FINANCE ASSOCIATED PROJECT MANAGEMENT SERVICES. THE PAYMENTS RECEIVED BY THE FUND FROM THE FUNDING OF THE FARM LOAN SHALL BE USED TO MAKE PRINCIPAL AND INTEREST PAYMENTS ON THE NU.AG. SERIES 1 [HUN VAL] NOTES SERIES, ON A PRO RATA BASIS. THESE NOTES BEAR INTEREST AT 4% PER ANNUM ON UNPAID PRINCIPAL BALANCE OF THIS NU.AG SERIES I [HUN VAL] UNSECURED LIMITED RECOURSE PROMISSORY NOTE COMPOUNDED MONTHLY, FROM THE DATE HEREOF UNTIL DUE, PAYABLE IN MONTHLY INSTALLMENTS OF PRINCIPAL AND INTEREST PERIOD BEGINNING 6 MONTHS AFTER THE DATE OF THE NOTE AND CONTINUING FOR 174 CONSECUTIVE MONTHS THEREAFTER SO THAT THE NOTE IS PAID IN FULL. THE ENTIRE PRINCIPAL AMOUNT AND ANY OTHER AMOUNTS THAT REMAIN OUTSTANDING, WHETHER AS PRINCIPAL, INTEREST OR OTHERWISE, SHALL BE REPAID IN FULL BY THE FUND ON SUCH DATE, WHICH IS THE FINAL AND ABSOLUTE DUE DATE OF THIS NOTE.
