The organization's conflict of interest policy requires directors and corporate officers to disclose interests in any entity with which the organization proposes to do business. The organization also requests from each director a list of any entities with which they may be affiliated so potential conflicts can be identified. In all transactions involving a conflict of interest, a disinterested decision-maker (the board, the president, or a disinterested board member as the case may be) will determine whether proceeding with the transaction is in the best interests of lever for change after considering all the facts and circumstances. Directors, officers and staff, who have a conflict of interest regarding a proposed transaction will not vote on or approve the transaction. In addition, a staff member or officer will not work on the transaction where the conflict is present and, unless asked by a director or the president, should not participate in formal or informal discussions of such transaction.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The overall compensation of the chief executive officer and the secretary of lever for change paid by macarthur foundation are based upon an annual determination by macarthur foundation's budget and compensation committee. Under the services agreement between macarthur foundation and lever for change, the time spent by these officers on lever for change matters are charged to lever for change and lever for change reimburses the macarthur foundation. Compensation for these officers is based upon data of comparable organizations and is contemporaneously documented.

Form 990, Part VII, Section A, Line 1A

Lever for change has entered into an administrative services agreement with macarthur foundation. During the term of this agreement, macarthur foundation will provide administrative, finance, accounting, legal, human resource, program management, consulting and other support, as needed by lever for change and reimbursed by lever for change. These services are provided by macarthur foundation employees and amounts listed in part vii, section a, column d are the allocable share of the compensation and benefits incurred by lever for change for services provided by the individuals listed. The amounts listed in part vii, section a, column e are the allocable share of compensation and benefits paid by macarthur foundation to the individuals listed for services provided to macarthur foundation and are provided because macarthur foundation is a related organization in accordance with irs instructions. All individuals with reportable compensation listed in part vii are employees of macarthur foundation. Directors provide services to lever for change on a volunteer basis and received no compensation for services provided to lever for change. In addition, the number of volunteers listed in part i, line 6 includes judges that participate in the competition activities of the organization and are vital to the organization's mission. These volunteers are not required to be listed in part vii, section a.

Lever for change follows the accounting standards for contingencies in evaluating uncertain tax positions. The guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the organization for uncertain tax positions as of december 31, 2020. The organization's tax returns are subject to review and examination by federal and state authorities.
