Governance Explanations

Officer directors etc family relationship Part VI line 2

Three Board members of the Foundation are related to the founding grantor, Aaron Donald, and therefore to each other. Erica Donald, president of the foundation, and Akita Donald, the Foundations executive director, are Aaron Donalds wife and sister, respectively. Elliot Donald, a nephew of Aaron Donald, is a Director of the Foundation. Erica and Akita are sisters-in-law and Elliot is Ericas nephew and Akitas son.

Organizational document changes Part VI line 4

The Foundation made changes to its By-laws as follows - Article 3.3 was amended to increase from 4 to 5 the number of directors that may live outside Pennsylvania and reduced from 2 to 1 the number of Board members needed with experience servicing or implementing programming to disenfranchised youth. Article 3.4 was amended to reduce from 9 to 7 the number at which board vacancies should be filled within 6 months. Article 3.6 was amended to provide the Chair with discretion to alter the Recruitment of Board Members and Interview Process. Article 3.11 was amended to increase the minimum number of board meetings each year from 4 (quarterly) to 6. Article 5.1 was amended to remove the requirement for a flat specific amount for personal or third party monetary donations in favor of a reference to the Individual Board Members Fund Development Plan. Article 5.2 was amended to conform references to the organization within the document. Article 5.3 was amended to reduce the maximum number of Board meetings annually from 12 to 6. Article 7.2 was amended to remove reference to a specific third party service provider. Article 10.0 was introduced to provide for the distribution of assets upon the dissolution of the organization in accordance with the requirements of its 501(c)(3) status

Form 990 governing body review Part VI line 11

A draft of the Form 990 is reviewed with key Foundation officers - typically the Executive Director and/or the Treasurer - prior to filing. A revised draft incorporating any changes arising from that meeting is furnished to the Foundation for circulation to the full Board. Any additional comments or questions are addressed to the Boards satisfaction before the tax return is completed and presented to the Board for approval. Once approved the return is filed.

Conflict of interest policy compliance Part VI line 12C

The Foundation adopted a conflict of interest policy providing for disclosure of conflicts by members of the board or management. Members with a conflict of interest in a course of action under consideration are to refrain from voting or participating in discussions about the vote. Any potential conflicts should be disclosed when the person subject to the conflict of interest becomes aware of them. The organization is in its growth stage, directors are well-known to each other and generally would be aware of any conflict of interest situations involving fellow officers and board members.

The Foundations governing documents are available for viewing upon request at the Foundations offices during normal business hours and on web sites maintained by others (Guidestar, etc). Copies of the documents are available from the organization for a nominal charge for reproduction.

Article 3.4 was amended to reduce from 9 to 7 the number at which board vacancies should be filled within 6 months. Article 3.6 was amended to provide the Chair with discretion to alter the Recruitment of Board Members and Interview Process. Article 3.11 was amended to increase the minimum number of board meetings each year from 4 (quarterly) to 6. Article 5.1 was amended to remove the requirement for a flat specific amount for personal or third party monetary donations in favor of a reference to the Individual Board Members Fund Development Plan. Article 5.2 was amended to conform references to the organization within the document. Article 5.3 was amended to reduce the maximum number of Board meetings annually from 12 to 6. Article 7.2 was amended to remove reference to a specific third party service provider. Article 10.0 was introduced to provide for the distribution of assets upon the dissolution of the organization in accordance with the requirements of its 501(c)(3) status

A revised draft incorporating any changes arising from that meeting is furnished to the Foundation for circulation to the full Board. Any additional comments or questions are addressed to the Boards satisfaction before the tax return is completed and presented to the Board for approval. Once approved the return is filed.

Members with a conflict of interest in a course of action under consideration are to refrain from voting or participating in discussions about the vote. Any potential conflicts should be disclosed when the person subject to the conflict of interest becomes aware of them. The organization is in its growth stage, directors are well-known to each other and generally would be aware of any conflict of interest situations involving fellow officers and board members.
