Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by an independent public accounting firm (Baker Newman Noyes). Upon completion, a draft of the Form 990 is sent to the Organization, where the board of directors performs a final in-house review for final approval. Once the Form 990 is approved by the board, the return is filed with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

Administrators, directors, and officers of Maine 200 have an obligation to carry out their responsibilities within guidelines that minimize and make transparent actual or potential conflicts of interest. Any interested person having knowledge of any actual or potential conflict of interest must disclose the existence of any outside commitment interest, or any substantial financial benefit, and be given the opportunity to disclose all material facts to the board of birectors. After disclosure of the outside commitment interest of substantial financial benefit and all material facts, and after any discussion with the interested person(s), the disinterested board directors (i.e., those directors without the potential conflict of interest being discussed) shall determine if a conflict of interest exists by a majority vote. All board members are required to sign a disclosure statement attesting to the following: that they have received a copy of the conflict of interest policy, have read and understand the policy, that they agree and comply with the policy, and acknowledge that Maine 200 is charitable and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Form 990, Part VI, Section C, line 19

Maine 200 makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Maine 200 also regularly publishes its board minutes and the its most recently amended Bylaws onto its website (www.maine200.org).

IRS990/Desc0Maine 200 continued in its mission to promote general awareness and education of Maine's history, artists, culture, and future development. One of the ways in which Maine 200 accomplished this goal was by raising money for, and in collaboration with, the Maine Arts Commission, a government-sponsored agency of the State of Maine that has the goal of preserving and promoting art and culture throughout Maine.Through joint efforts with the Maine Arts Commission, Maine 200 helped to collect and process applications for bicentennial-themed projects that benefit Maine's public, such as festivals, historic preservation efforts, lectures and curriculum. (continued on Schedule O...)(continued from Form 990, page 2...) Maine 200 considered grant applications from Maine community non-profit organizations, such as historical societies and libraries, government entities, and schools. Private individuals and for-profit corporations were also welcome to apply in partnership with a non-profit entity. Out of 44 applications from organizations and municipalities across the State, Maine 200 chose a total of 30 grant recipients. Chosen projects included a Bicentennial Birthday Bash in Rockland and theatrical productions in Portland and Dover-Foxcroft, as well as conferences, educational curriculum, art exhibits, lecture series, and more, spanning several Maine counties.Approximately $145,000 in grants were paid out to various institutions for public works and artistic projects in 2019. Maine 200 was responsible for evaluating, selecting, and approving project applications, while the State of Maine Treasurer's Office, the Bureau of Purchases, and the Maine Arts Commission accounted for, monitored, and oversaw all actual grant payments. Money raised by Maine 200 in 2019 will be used to compliment the funds available for use by various Maine State Departments, including the Maine Arts Commission, the Maine Historical Society, and the Maine Humanities Council, among others.Maine 200 also participated in numerous public events during the year, and established and maintained a strong and informative online presence through its new website. Both of these initiatives helped to raise public awareness of Maine's history and culture.
