“The organization has an Executive Committee (the Committee). Under this organization's bylaws and California law, this Committee is a "board committee" which is composed solely of directors. For the organization's tax year ending December 31, 2024, the committee was composed of two current directors of the organization. Executive Committee's composition: - Anna Galland - Christina Jimenez The Committee has general governing authority similar to the Board of Directors, except for certain rights reserved to the full Board of Directors in the organization's bylaws. Actions of the Committee are reported to, and reviewed by, the Board of Directors at least annually.”

“MoveOn.org Civic Action ("MOCA") has the power to appoint and remove directors and to fill vacancies on the Organization's board.”

“MOCA's consent is required to approve the disposition of all or substantially all the Organization's assets; and any amendment of the Organization's Bylaws or Articles of Incorporation.”

“The Form 990 was prepared by outside accountants and reviewed by the CFO and the Organization's legal counsel. A complete copy of the return was provided to the board before filing.”

“The conflict of interest policy covers each director, officer, board committee member, and key employee of MoveOn Education Fund. Under the policy, each covered person must (a) sign a statement that he or she has received a copy of the policy, has read and understood it, and has agreed to comply with it, (b) make the nature of his or her conflict known as it arises, and (c) excuse himself or herself from any discussion and voting related to the conflicted transaction. In addition, each MoveOn Education Fund officer, director and key employee is required to annually complete a conflict of interest disclosure form disclosing any financial interests and family relationships that could give rise to conflicts of interest. MoveOn Education Fund annually reviews the disclosure forms and monitors compliance with the policy on an ongoing basis.”

“The organization does not compensate any of its officers. However the officers of the related organization, MoveOn.Org Civic Action, are compensated.”

“The organization makes its articles of incorporation, bylaws, conflict of interest policy and financial statements available to the public upon request.”

“The Organization and MoveOn Civic Action (MOCA) entered into a Resources Separation Agreement (RSA) effective January 1, 2024 which provides that the Organization and MOCA share certain resources and pay for the reasonable allocation of expenses based on each party's actual use of the resources. The RSA provides the Organization will not pay MOCA more than fair market value for any goods and resources provided by MOCA.”
