“B1G1 Giving, Inc. has a close relationship with Buy1GIVE1 Pte. Ltd, a Social Enterprise established in 2007 in Singapore. The Buy1GIVE1 Social Enterprise supports and inspires businesses around the world to promote giving that helps charitable organizations in 39 different countries accomplish their goals and serve their beneficiaries. Certain employees of the Social Enterprise supported B1G1 Giving, Inc. by donating a portion of their time to various operational and recordkeeping functions the charity requires in order to fulfill its mission. The Social Enterprise also supports B1G1 Giving, Inc. by donating to it funds sufficient to pay the bank service charges associated with the transfer of funds from B1G1 Giving, Inc. to the charitable organizations it supports. As a result of this arrangement, B1G1 Giving, Inc. is able to transfer to these charitable organizations 100% of the funds donated by the businesses to the charities.”

“The organization used a 3-step process to review this Form 990:Step 1: A draft of the Form 990 was prepared by Nigro & Nigro, the organization's accounting firm, working with the organization's Treasurer, who is herself a CPA and its Secretary. This included a review of data available in our systems to identify various reportable details, such as the identification of organizations donating more than $5,000, the identification of grant recipients receiving more than $5,000, and other matters.Step 2: The draft of the Form 990 and all accompanying schedules were then reviewed by the organization's President, Treasurer, and other Board members who are intimately familiar with the operation of the organization. This review was followed by discussion of questions and comments by these individuals with the Treasurer and Secretary.Step 3: The completed Form 990 and all accompanying schedules were then submitted to the Board of B1G1 Giving, Inc. in May 2021, and were unanimously approved by the Board for submission.”

“In connection with the organization's Annual General Meeting, which took place on May 11, 2021, we re-distributed to all Officers and Directors of the company a copy of the B1G1 Giving, Inc. Conflict of Interest Policy, together with a one-page Annex form to be completed by each of them. The Annex summarizes the recipient's obligations under our Policy, and requires a complete and accurate listing of all situations in which the recipient or an immediate family member (anyone living in the same household) has an employment relationship, a substantial (5%) ownership interest, or a potential for conflict through service as an employee, director or committee member of another organization. The Annex further confirms that the recipient has received, read and understood the Policy, and has agreed to comply with its terms. Each Officer and Director completed and signed this Annex form, and returned it to the Secretary of the organization.”
