“The governance committee shall be responsible for nominating a slate of member representatives to preserve the diversity and balance necessary to provide policy guidance on the broad spectrum of leadership issues. Directors are elected by electronic ballot. Electronic balloting shall be conducted as follows: 1. The ballot shall set forth each proposed action and shall provide an opportunity to vote either for or against each proposed action. 2. Unless otherwise indicated in these bylaws, the number of ballots received by the organization must equal or exceed the quorum that would have been required had there been a meeting (i.e., the organization must receive a valid ballot from 20 percent or more of its voting members). Annually, the general membership of the organization elect officers and directors-at-large of the board of directors.”

“There will be an annual business meeting of the organization as determined by the board of directors. At the annual meeting, the members shall: a) elect directors and officers, b) receive reports on the activities of the organization, and c) review the direction of the organization for the coming year.”

“An electronic copy of form 990 is provided to each voting member of the governing body two weeks prior to filing of the return upon tax preparer completion of the irs form 990. The form and accompanying schedules will be first reviewed by applicable members of the association management company's client team. Thereafter, an electronic copy of form 990 (and accompanying schedules) will be made available to each voting member of the governing body, with electronic mail notification and instructions for contacting association headquarters with comments or questions, if any. A two-week timeframe will be provided for governing body comments. Following the open timeframe for governing body comments and questions, and following the resolution of any questions or other matters that have arisen, the form 990 will be returned to the association management company for filing with the irs by the due date of the return.”

“The organization requires officers to disclose all conflicts. Any conflicts that arise in between annual disclosures shall be disclosed in advance of any relevant committee action.”

“All documents requiring public disclosure are made available, either electronically or in-person at the organization's headquarters, upon request for the same period of disclosure set forth in section 6104(d).”
