Mission

The AIM-HI Accelerator Fund is an independent 501(C)(3) non-profit organization, established with an initial grant from the National Foundation for Cancer Research with the vision to accelerate the translation of cancer drug discoveries by investing in seed-stage companies. It is a new paradigm through venture philanthropy to fund start-up oncology companies that commercialize innovative laboratory breakthroughs which can potentially save cancer patients' lives.

The organization shall not have capital stock and shall have no authority to issue capital stock. The organization's board of directors shall be its members.

Form 990, Part VI, Section A, Line 7A

As the incorporator and the initial granter to the organization, national foundation for cancer research (nfcr) has the power to appoint two directors to the board, provided that, at all times, the percentage of representation of nfcr shall be less than 40% of the total number of directors serving on the board of the organization.

Review process of form 990: (1) form 990 will be prepared by the treasurer after the annual financial statements are prepared; (2) the first draft will be reviewed by the ceo; (3) after resolving any questions and updates, the revised draft will be sent to the board of directors, preferably electronically for their respective review and comments; (4) comments from the board of directors; if any, will be incorporated in the final return; (5) the tax return will be filed with the internal revenue service (irs) prior the designated due date or extended due date; (6) in the rare occassion that there is insufficient time prior to the due date to share the tax return with the board, or there is absence of an opportunity for any meaningful review by the board prior to the filing deadline, a filed copy of the tax return will be available for board of directors' review and comments after submission of return to the irs. An amended return, if necessary, will be filed.

Conflict of interest policy compliance: each director, prior to making the position on the board, and all present directors shall submit annually in writing to the board of directors a list of all businesses or other entities of which he or she is an officer, director, trustee, member, owner shareholder, employee or agent, with which the organization has, or might reasonablely in the future enter into, a relationship or a transaction in which the director would have conflicting interest.

Currently officers of the organization, ceo is receving a nominal pay, and the treasurer and secretary, is providing pro bono service to the organization. In the future when the organization is financially capable, the board of directors, on an annual basis, will perform a thorough review to determine suitable compensation for officers. The process includes all of the following three elements: (1) review and approval by the board of directors, based on performance and responsibilities; (2) review of "comparable compensation" data of the peer organizations; (3) documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation agreement, are kept by the secretary of the organizaiton.
