Form 990, Part VI, Section A, Line 7A

The organization has a nominating committee that is composed of members of the board of directors. The nominating committee includes: aaron dworkin (committee chair), brian offutt, tera hanks, lisa pritzker, michael kassan, chris zarou, barry herman. The nominating committee meets once a month to review a list of candidates for the board of directors or advisory council that they feel would be a strategic and cultural fit for the organization. The committee discusses potential pathways to various candidates, as well as additional ideas and considerations.

When new board members are elected to the board of directors, as part of the on-boarding process, the conflict of interest policy is reviewed and signed by the board member. All board members then review the conflict of interest policy annually.

Form 990, Part VI, Section B, Line 15A

Project healthy minds established a board of directors level people committee that included independent directors.the board of directors passed a resolution to empower the people committee to negotiate the hiring and establish and negotiate the compensation package of the ceo. The people committee included a 3x chief human resources officer who has served at large publicly traded companies, a former founder and longtime ceo of a prominent non-profit organization, and the president and former corporate executive of a large and highly regarded start-up company. The people committee gathered, reviewed, and discussed data on compensation from comparable organizations. A robust process of negotiation of the employment contract and its key terms was undertaken between the people committee, advised by its outside legal counsel at curtis, mallet-prevost, and the founder & ceo of project healthy minds. The people committee provided an update at the july 2022 board meeting to the full board of directors, where the full board of directors voted unanimously to reaffirm the decision of the people committee. In 2022, this process was only undertaken once for the ceo.
