“Governance Management and Disclosure Policy 1. Purpose This Governance Management and Disclosure Policy outlines the principles and procedures governing the governance structure, management practices, and disclosure obligations of Mishkan HaTorah Inc. a 501(c)(3) nonprofit organization (hereinafter referred to as "the Organization"). 2. Governance Structure 2.1. Board of Directors: The Organization shall be governed by a Board of Directors consisting of individuals who are committed to furthering the Organization's mission. The Board shall be responsible for setting strategic direction, overseeing organizational operations, and ensuring compliance with legal and ethical standards. 2.2. Committees: The Board may establish committees to assist in fulfilling its duties, including but not limited to governance, finance, fundraising, and program oversight. Committee members shall be appointed by the Board and may include both Board members and external experts. 2.3. Executive Leadership: The Board shall appoint an Executive Director to oversee day-to-day operations and implement Board directives in the event it is deemed necessary and there officers are not capable of doing the oversight themselves. The Executive Director shall report to the Board and provide regular updates on organizational activities. 3. Management Practices 3.1. Financial Management: The Organization shall maintain accurate financial records in accordance with generally accepted accounting principles (GAAP) and comply with all relevant financial regulations. The Board shall review financial statements regularly and ensure proper internal controls are in place to safeguard assets. 3.2. Risk Management: The Board shall identify and assess potential risks to the Organization's mission, reputation, and financial stability. Risk management strategies shall be developed and implemented to mitigate identified risks effectively. 3.3. Conflict of Interest: Board members, officers, and key personnel shall disclose any conflicts of interest that may arise in connection with their duties. Conflicts of interest shall be managed transparently and in the best interests of the Organization. 3.4. Ethical Conduct: All individuals associated with the Organization shall adhere to high standards of ethical conduct, including honesty, integrity, and respect for others. Any unethical behavior shall be promptly addressed and may result in disciplinary action, up to and including termination of involvement with the Organization. 4. Disclosure Obligations 4.1. Financial Reporting: The Organization shall prepare annual financial reports, including a balance sheet, income statement, and cash flow statement. These reports shall be made available to the public upon request and posted on the Organization's website, if applicable. 4.2. Transparency: The Organization shall operate with transparency and openness, providing stakeholders with access to relevant information about its activities, governance structure, and financial health. Information about the Organization's mission, programs, and impact shall be readily accessible to the public. 4.3. Compliance Reporting: The Organization shall comply with all applicable federal, state, and local laws and regulations governing nonprofit organizations. Any material violations of these laws or regulations shall be disclosed to the appropriate authorities and stakeholders. 5. Review and Amendments This Governance Management and Disclosure Policy shall be reviewed periodically by the Board of Directors to ensure its effectiveness and relevance. Amendments may be proposed by the Board or by petition of the Organization's members and shall be adopted following due process and approval by the Board. 6.
