Form 990, Part VI, Line 11B Review of form 990 by governing body

The final document was distributed via email to the board members for review prior to filing. The assistant controller and tax manager of the greater houston community foundation initially review the 990. Upon the resolution of any questions raised by these two individuals and any changes that result from this review, the completed document is then distributed to the principal officer for their review. Once reviewed by this individual, and updated with any changes, a finalized copy is provided to this individual for final review and approval, prior to distribution to the board.

The conflict of interest policy is distributed to all directors, non-director committee members, and employees annually. They are asked to acknowledge receipt by returning a signed acknowledgement. When discussion occurs and/or votes are taken in committee and/or board members and a member indicates a conflict of interest, such conflicts are noted in the minutes of the meeting and the member abstains from any vote taken.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The foundation believes that all significant tax positions utilized by the foundation will more likely than not be sustained upon examination. As of december 31, 2020, the tax years that remain subject to examination by the major tax jurisdictions under the statute of limitations are from the years 2017 through 2019 with limited exceptions. Tax penalties and interest, if any, would be accrued as incurred and would be classified as general and administrative expense in the statements of activities.
