Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm, in conjunction with the organization's finance and accounting team. The cfo reviews a draft of the form 990; adjustments are made, as necessary. A complete copy of the form 990 is provided to all members of the board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, all board members, officers, and key employees ("interested person") must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and/or members of any committee considering the proposed transaction or arrangement. The interested person shall make such disclosure in a timely manner upon learning of the financial interest associated with any transaction or arrangement, whether existing or proposed. After disclosure of the financial interest and all material facts and after any discussion with the interested person, the interested person shall leave the governing board or committee meeting while determination of the conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists, investigate alternatives to the proposes transaction or arrangement, and (by a majority of the votes of the directors then in office without counting the interested person) determine whether the transaction is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. Recordings of the proceedings are documented in the board and/or committee minutes.

The full board evaluates compensation for the ceo: (1) at the time of initial hiring; (2) when the ceo's term is renewed or extended; and (3) when such compensation is modified (unless such modification extends substantially all employees, e.g. For a cost of living adjustment). Comparable data for similarly situated organizations is utilized in determining the total compensation and benefits for the ceo.
