“The organization has two classes of voting members, designated as individual and organizational members. Individual members are individuals who: (i) carry-out research and/or conservation programs on marine migratory species in the eastern pacific; (ii) support the migramar mission, uphold its values, and enthusiastically collaborates with other members; (iii) fully comply with all required research permits, national laws, and scientific ethics in their research projects; (iv) commit to collaborate with others and fully credit colleagues and migramar to ensure appropriate recognition for the ideas and research undertaken; and (v) be individuals, not a organizations. Organizational members are organizations meeting the following criteria: (i) is a migramar member in good standing, with the power to represent the prospective organization, and is willing to serve as the lead representative; (ii) fully comply with all required research permits, national laws, and scientific ethics in their research projects, and (iii) uphold migramar values and are willing to share and collaborate.”

“All members of the board of directors are elected by the individual and organizational members at each annual membership meeting for three-year terms.”

“The form 990 is prepared by an independent tax accountant. A draft form 990 is then reviewed by the president; adjustments are made, as necessary. A complete copy of the form 990 is then provided to all members of the governing body prior to filing with the internal revenue service.”

“The organization has a written conflict of interest policy, which covers all officers and members of the board of directors (hereinafter, "interested persons"). Under the policy, in connection with any actual or possible conflict of interest, an interested person must disclose the existence of any potential financial interest and be given the opportunity to disclose all material facts to the directors considering the proposed transaction or arrangement. After disclosure of all material facts, and after any discussion with the interested person, he/she shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board shall decide if a conflict of interest exists. Should a conflict of interest be deemed to exist: (i) an interested person may make a presentation at the board meeting, but after the presentation, shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest; (ii) the president of the board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement; and (iii) after exercising due diligence, the board shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest; if a more advantageous transaction or arrangement is not reasonably possible, the board shall determine by a majority vote of the disinterested directors then in office whether the transaction is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable.”
