There was no committee established to act on behalf of the governing body during the tax period.

The chief financial officer works with an outside accountant to provide information for the compilation of the 990. The ceo reviews and signs the 990. The cfo ensures that the 990 is filed, in accordance with all deadlines. The organization provides electronic access to all board members to review the 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

All directors and officers are required to submit a conflict of interest disclosure on an annual basis. In the case of a potential conflict of interest, the staff director recuses or absents oneself from the meeting or such portion of the meeting where the item on the agenda which gives rise to the actual or potential conflict of interest will be addressed; each staff director is required to make full disclosure regarding the actual or potential conflict of interest; the minutes of the board of directors are required to note each actual or potential conflict of interest and the action taken by the board of directors and/or the staff director in response thereto; and requires the board of directors to investigate the situation and find that no more advantageous arrangements are available and that the arrangements adopted by the board of directors are fair and reasonable to the corporation, the staff director and all interested parties. Further, each vote by the board of directors regarding a proposed action to be taken by it in resolution of the actual or potential conflict of interest is by written ballot.

Form 990, Part VI, Section B, Line 15

All compensation is paid through the affiliated organization, pire. The pire board completes the ceo's annual evaluation, with input from senior level staff members. Based upon the evaluation, the board determines the ceo's salary, and bonus, if any. The board participates with the ceo in completing the officers' annual evaluations. Based upon those evaluations, the board and ceo determine the officers' salaries, and bonuses, if any. The last compensation review process took place december 2023.
