The remaining board or executive committee members must decide if a conflict of interest exists. If the board or executive committee has reasonable cause to believe an interested person has failed to disclose actual or possible conflicts of interest, it must inform the interested person of the basis for such belief and afford the interested person an opportunity to explain the alleged failure to disclose. The minutes of the board and all committees with board delegated powers must contain: a. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the board's or executive committee's decision as to whether a conflict of interest in fact existed. B. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

IRS990/Desc0JONAS PHILANTHROPIES INVESTED IN AND SUPPORTED SOLUTIONS, PROJECTS AND SCHOLARSHIPS TO PROVIDE QUALITY HEALTHCARE TO VULNERABLE CITIZENS. IN 2020, THE INVESTMENTS AND SUPPORT WERE AS FOLLOWS:1) THE JONAS NURSING AND VETERANS HEALTHCARE (JNVH) PROGRAM:THE JONAS NURSING AND VETERANS HEALTHCARE PROGRAM OF JONAS PHILANTHROPIES INVESTS IN HIGH-POTENTIAL DOCTORAL NURSING SCHOLARS (I.E. PHD, DNP, PHD-DNP, EDD, DNS) BY PROVIDING SCHOLARSHIP, LEADERSHIP DEVELOPMENT, NETWORKING, AND LEARNING OPPORTUNITIES. BASED ON RESEARCH, EACH DOCTORATE OF NURSE PRACTITIONER (DNP) SCHOLAR IS ESTIMATED TO CONDUCT AN AVERAGE OF 100,000 PATIENT VISITS OVER THE COURSE OF A 20-YEAR CAREER, WHILE EACH PHD NURSE SCHOLAR IS EXPECTED TO TEACH 5,000 STUDENTS AND PRODUCE RESEARCH ULTIMATELY IMPACTING THOUSANDS OF PATIENTS. MANY OF THESE NURSES FULFILL LEADERSHIP ROLES AS FACULTY, CLINICAL LEADERS, RESEARCHERS, ORGANIZATIONAL LEADERS AND PUBLIC SERVANTS. OUR NURSING SCHOLARSHIP PROGRAM HAS THE FOLLOWING MAIN OBJECTIVES: 1) INCREASE THE NUMBER OF ADVANCED PRACTICE NURSES TRAINED TO SERVE ACROSS A VARIETY OF HEALTHCARE SETTINGS (I.E. PRIMARY CARE, VETERANS ADMINISTRATION, PEDIATRICS, WOMEN'S HEALTH, PALLIATIVE CARE, AND GERIATRICS); 2) PREPARE ACADEMIC FACULTY TO EDUCATE FUTURE GENERATIONS OF NURSES; 3) PREPARE RESEARCHERS TO ADVANCE NURSE-LED RESEARCH TO ADDRESS KNOWLEDGE GAPS THAT WILL ADDRESS PRESSING HEALTHCARE NEEDS. GIVEN THAT 2020 WAS A NON-COHORT YEAR FOR JNVH (GENERALLY WE SPONSOR SCHOLARS FOR 2 OUT OF A 3 YEAR CYCLE), DURING 2020 WE SPONSORED TWO PHD AND FIVE DNP, REPRESENTING 5 SCHOOLS OF NURSING THAT ARE GEOGRAPHICALLY DISPERSED ACROSS THE COUNTRY. EXAMPLES OF AREAS OF CLINICAL CARE OR RESEARCH INCLUDE PALLIATIVE CARE, ONCOLOGY, MENTAL HEALTH, QUALITY OF LIFE, AND WOMEN'S HEALTH. ALSO IN 2020, WE IMPLEMENTED SEVERAL ASPECTS OF OUR PROGRAM AS AN EDUCATIONAL COMPONENT FOR OUR SCHOLARS. SOME OF THESE PRESENTATIONS INCLUDE HEALTHCARE WEBINARS ON HEALTH DISPARITIES IN MATERNAL AND CHILD HEALTH, PREGNANCY HYPERTENSION RISK AND AIR POLLUTION, AND PROMOTING RESEARCH BEYOND PUBLICATIONS. THE MOST PROMINENT PROGRAM HELD IN 2020 WAS THE VETERANS HEALTHCARE CONFERENCE WHICH WAS VIRTUAL DUE TO THE PANDEMIC. THIS FULL-DAY CONFERENCE INCLUDED PANEL PRESENTATIONS AND EDUCATIONAL SESSIONS FROM NATIONAL NURSING LEADERS IN VETERANS' HEALTHCARE PROGRAMS AND MILITARY ORGANIZATIONS AROUND THE COUNTRY. AMONG OUR NURSING SCHOLARS FOCUSED ON VETERAN'S HEALTH, MANY HOLD LEADERSHIP POSITIONS AT VARIOUS LEVELS WITHIN VA MEDICAL CENTERS; SERVING ON RESEARCH TEAMS RESULTING IN PUBLICATIONS TO DISSEMINATE THE SCIENCE; PROVIDING PROFESSIONAL PRESENTATIONS AT BOTH NATIONAL AND INTERNATIONAL HEALTHCARE CONFERENCES; AND SERVING AS CLINICAL LEADERS TO ENSURE THE HIGHEST QUALITY CARE TO OUR VETERAN AND MILITARY POPULATIONS BOTH IN THE VA AND CIVILIAN HEALTHCARE SYSTEM. THE SUCCESS OF THESE PROGRAMS HAS CONTRIBUTED TO OUR PLANNING FOR THE COMING YEAR. 2) PUPILS PROJECT:IN 2019, JONAS PHILANTHROPIES AGREED TO PARTNER WITH WARBY PARKER IN BEING A FUNDER OF THE PUPILS PROJECT WHICH IS A PROGRAM OPERATED VIA PUBLIC-PRIVATE PARTNERSHIP TO PROVIDE SCHOOLCHILDREN IN NEED WITH VISION SCREENINGS, EYE EXAMS, AND GLASSES. IN NEW YORK CITY, THE PROGRAM PARTNERS INCLUDE WARBY PARKER, THE DEPARTMENT OF EDUCATION (DOE), THE DEPARTMENT OF HEALTH AND MENTAL HYGIENE (DOHMH), AND THE MAYOR'S OFFICE FOR STRATEGIC PARTNERSHIPS. OVER THE PAST YEARS, THE PROGRAM HAS SERVED OVER 250,000 STUDENTS WITHIN NEW YORK CITY'S COMMUNITY SCHOOLS PROGRAM. THIS 2019-20 SCHOOL YEAR THE PROGRAM EXPANDED TO SERVE KINDERGARTEN AND FIRST GRADERS ACROSS THE FIVE BOROUGHS, IN ADDITION TO ALL COMMUNITY SCHOOLS. DUE TO THE COVID-19 PANDEMIC, THE PROGRAM WAS SUSPENDED IN MARCH 16, 2020 WHEN THE NYC SCHOOLS CLOSED. AS A RESULT, THE PROGRAM SERVED 63% OF THE PLANNED K-1 SCHOOLS AND 61% OF THE COMMUNITY SCHOOLS.VISION PROGRAM SERVICES PROVIDED DURING THE PERIOD SEPTEMBER 23, 2019 TO MARCH, 2020 :- SCHOOLS COMPLETED: 856- STUDENTS SCREENE
