Mission

Inperium management services provides operational, management, and administrative services to organizations in fulfilling their respective missions.

APIS Services provides shared service offerings to affiliates allowing these entities to advance their mission and vision. By exploring geographical program expansion and focusing on quality outcome measures, APIS creates cost savings that result in reinvestment into the Organizations' stakeholders through capacity creation and employee compensation betterments. Shared service offerings include, but are not limited to: Fiscal Reporting, Payroll, Information Technology, Human Resources, Employee Recruiting, Employee Training, Risk Management Reporting and Analysis, and Time and Attendance.

Inperium, Inc. must approve the election, re-election or removal of a director from the Board of Directors.

Form 990, Part VI, Section A, line 7B

Inperium, Inc. must approve any governance decision or any other matter that, by law, that would require the approval of the members of a nonprofit corporation in Pennsylvania.

The 990 is distributed to the Board of Directors for final review.

Form 990, Part VI, Section B, line 12C

The Human Resources department maintains employee conflict of interest policies. Employees have the policy explained to them and they complete all disclosures when hired through orientation. The policy is sent to staff for review annually. Staff are able to contact Human Resources for any subsequent explanations needed. If/when a potential conflict is reported or identified, it is reviewed for each unique circumstance by Human Resources, such as a personal relationship conflict or supervisor/subordinate. In the event of such conflict, each employee would be interviewed to ascertain if any inappropriate behavior or pressure/influence was exhibited. The supervisor/subordinate relationship will immediately be halted and a transfer to other areas would occur to eliminate the conflict if inappropriate behavior is discovered. Depending on the severity of that behavior, disciplinary actions up to and including termination may occur. The conflict of interest policy is completed by all employees and Board Members annually.

Form 990, Part VI, Section B, line 15

Sources used in the development of CEO compensation annual increases include the following: comparing 990 wages with comparable organizations and independent third-party compensation studies, as well as publicly available compensation guides. The Salary Review Committee of the Board uses these sources to determine the recommended Executive compensation. Changes to Executive compensation are approved by the Executive Committee of the Board of Directors.

The Organization is a 509(a)(3) Type II supporting organization. The Organization incurred no income tax expense for the years ended June 30, 2023 and 2022. In accordance with U.S. GAAP, the Company accounts for uncertain tax positions, if any, as required. Using that guidance, management has determined that there are no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. All are subject to examination by the Internal Revenue Service generally for three years after they are filed.
