Material differences in voting rights the booz allen foundation board of directors is made up of two classes of directors. Class a directors must be independent from booz allen hamilton inc. Class b directors have an affiliation to booz allen hamilton, inc. Class a directors have a 3:2 voting power on all matters before the board.

FORM 990, PART VI, SECTION A, LINE 7A:

Booz allen hamilton inc. Is the sole member of the booz allen foundation. Booz allen hamilton inc. Has the right to appoint a 2/5 minority of the foundation's board, to approve changes to the foundation's articles and bylaws, and to approve major corporate changes of the foundation (merger, sale of all or substantially all assets, domestication, conversion, or dissolution). All of these rights are provided in the foundation's bylaws.

The Foundation management conducted a review and vetting of numerous nonprofit organizations that were providing on-the-ground disaster relief and recovery assistance in the impacted communities. Based on this assessment, the Foundation Board approved the distribution of $43,304 in philanthropic donations to five local nonprofits. Philanthropic support in response to declared disasters delivers upon the Foundations commitment to disaster assistance and community resilience, and builds upon its earlier support of the American Red Cross and seven local nonprofits serving areas impacted by disasters in the southeastern region of the United States in 2018.

IRS990/ProgSrvcAccomActy3Grp/Desc0YOUTH & EDUCATION: Youth & Education is one of the Foundations primary focus areas. The Foundation is committed to ensuring students have the chance to learn and explore all educational opportunities, and more specifically, pursue STEM-related careers. To deliver upon this work, the Foundation invested in the development of an Educators STEM initiative, whereby educators are exposed to the STEM pipeline opportunities for their students as well as resources to help connect in-classroom curriculum to real-world problem solving. In its capacity as a convener, the Foundation identified and cultivated collaborators from the for-profit, nonprofit and academic sectors. Working together, an Educators STEM Open House concept was developed, planning undertaken in 2019 for an early 2020 launch. The Foundation also directly invested in the future of youth education through scholarship funding for children of fallen and disabled service members.
