“The board of directors is responsible for monitoring compliance with the conflict of interest policy. The policy applies to each director, officer, member of a committee with board-delegated powers, and key employee. The president reviews the transaction and in the event of a potential conflict of interest, advises the board of directors of appropriate action with regard to the conflict. A potentially conflicted person may make a presentation at the board or committee meeting where the matter is deliberated, but after such presentation, he/she must leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the possible conflict of interest.”

The board of directors reviewed and approved the president's salary after considering executive salary levels at comparable organizations. In addition, the board of directors review compensation for other officers and certain key employees.the decision making includes contemporaneous substaniation of the deliberation.
