Governance Explanations

Form 990, Part VI, Section A, Line 2

Barry a williamson and holly h williamson have a family relationship.

Form 990, Part VI, Section B, Line 11B

The organization provides its governing body a copy of form 990 before filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers any director, officer or member of a committee with governing board delegated powers, who has a direct or indirect financial interest which is defined as an interested person. Each individual covered by the policy has a duty to disclose their potential conflict of interest. On an annual basis each person covered by the policy much sign a statement which affirms such person has received a copy of the policy, understands the policy, agrees to comply with the policy and the organization must primarily engage in activities which accomplish tax-exempt purposes. The board or committee if they have reasonable cause to believe a possible conflict exists may also start the procedures of investigation. If an interested person has a potential conflict of interest that interested person may make a presentation on the matter but must leave the meeting before discussion of and vote on the possible conflict of interest. The chairperson may appoint either a person or committee to investigate alternatives to the transaction. If it is determined that a more advantageous arrangement is not available the board or committee will vote on the transaction.

FOR THE YEARS ENDED DECEMBER 31, 2023 AND 2022, THE ORGANIZATION'S PUBLIC SUPPORT PERCENTAGE UNDER THE TEST OUTLINED IN SCHEDULE A, PART II WAS 29.82% AND 32.11%, RESPECTIVELY. PRIOR TO THE 2022 TAX YEAR, TWOPU'S PUBLIC SUPPORT PERCENTAGE EXCEEDED 33.33%.2. ATTRACTION OF PUBLIC SUPPORT (REG. 1.170A-9(F)(3)(II))THE ORGANIZATION IS ORGANIZED AND OPERATED TO ATTRACT NEW AND ADDITIONAL PUBLIC OR GOVERNMENTAL SUPPORT ON A CONTINUOUS BASIS. FOR EXAMPLE, TWOPU HAS CONDUCTED AN ANNUAL FUNDRAISING EVENT FOR THE PAST SEVEN YEARS FROM WHICH IT SOLICITS AND RECEIVES SIGNIFICANT CONTRIBUTIONS FROM A BROAD BASE OF THE GENERAL PUBLIC. THESE FUNDRAISING EVENTS REGULARLY HAVE ATTENDANCE FIGURES BETWEEN 150-200 INDIVIDUALS. FOR EXAMPLE, DURING THE APPLICABLE PERIOD, THE ORGANIZATION RECEIVED CONTRIBUTIONS FROM 90 DIFFERENT DONORS, INCLUDING INDIVIDUALS, CORPORATIONS, AND FOUNDATIONS. ADDITIONALLY, THIS SUPPORT IS EVIDENCED BY ITS PUBLIC SUPPORT PERCENTAGE IN THE YEARS SINCE ITS INCEPTION AS NOTED IN THE PARAGRAPHS ABOVE. 5. REPRESENTATIVE GOVERNING BODY (REG. 1.170A-9(F)(3)(III)(C))THE ORGANIZATION HAS A GOVERNING BODY THAT REPRESENTS THE BROAD INTERESTS OF THE PUBLIC. THE BOARD OF DIRECTORS INCLUDES INDIVIDUALS FROM VARIED BACKGROUNDS, INCLUDING THOSE WITH STATE AND FEDERAL GOVERNMENT ADMINISTRATION, LEGAL, ACCOUNTING, AND NONPROFIT EXPERIENCE. FURTHERMORE, THE BOARD IS COMPRISED OF INDIVIDUALS WITH SIGNIFICANT EXECUTIVE- AND BOARD-LEVEL EXPERIENCE WITH NONPROFIT ORGANIZATIONS. THIS REPRESENTATION AND DEEP LEVEL OF EXPERIENCE ENSURES THAT THE ORGANIZATION'S ACTIVITIES ALIGN WITH THE INTERESTS OF THE COMMUNITY IT SERVES AND THAT THE ORGANIZATION'S BOARD POSSESSES A SKILLSET TO ENSURE ADEQUATE STEWARDSHIP OF ITS ACTIVITIES AND OPERATIONS. 6.
