Governance Explanations

Form 990, Part VI, Section A, Line 1

The board delegates broad authority to the executive committee. The executitve committee consists of the president, vice president, secretary, treasurer, and two other members.

Form 990, Part VI, Section A, Line 6

Per the bylaws, the governing body of the council, incorporated, shall be a council, and its membership shall be constituted as follows: a. Each sponsoring group of the council, incorporated, shall have one representative member on the council, except for the duck valley indian reservation which shall have two representative members. Each representative member shall be appointed by the governing body of the participating sponsor. B. Not more than five special members shall be appointed by the board of directors. Such appointed members shall be chosen to broaden the scope of the council and shall have voting privileges equal to those of sponsors' representatives. C. The representatives of the soil conservation districts shall be duly elected members of the conservation district board or appointed representatives designated by that board to serve on the council. D. Chairpersons of all council committees shall be council members.
