Diana Meo and Deanna L. Watson have a business relationship with the board members as Diana and Deanna are officers compensated by Boise City Housing Authority (BCHA), a related organization, and the board members also serve as board members of BCHA.

When the office of a Director becomes vacant, the Mayor of the City of Boise and the Commissioners of Ada County jointly appoint a new Director. The Board of Directors of the Corporation also serves as the Board of Commissioners of Boise City Housing Authority (BCHA) and Ada County Housing Authority (ACHA). The Commissioners are appointed in alternating years by the Mayor of Boise and Ada County Commissioners. The Mayor of Boise appoints members in odd numbered years and the Ada County Commissioners in even numbered years.

Compensation for the Executive Director and Finance Director is determined and paid by a related organization, Boise City Housing Authority (BCHA). BCHA uses a pay for performance system with regard to compensation. A human resources consulting group assisted with the pay for performance system and performs salary surveys with organizations similar in size and structure. BCHA receives cost of living adjustment amounts annually. This information is used to adjust the pay scale on an annual basis.

Financial Statement Notes

Part IV, Line 2B:

Pursuant to management policy, the Corporation has set aside $20,737 as of September 30, 2019, to repay tenant security deposits after lease termination in accordance with requirements established by the HUD regulatory agreement.

Part X, Line 2:

The Corporation is a non-profit entity and is exempt from income taxes under Internal Revenue Code Section 501(c)(4). The Corporation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Corporation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Corporation has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Corporation evaluates its tax positions that have been taken or are expected to be taken on income tax returns to determine if an accrual is necessary for uncertain tax positions. Management believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. The Corporation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

The Corporation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Corporation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Corporation has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Corporation evaluates its tax positions that have been taken or are expected to be taken on income tax returns to determine if an accrual is necessary for uncertain tax positions. Management believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. The Corporation would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
