Governance Explanations

Form 990, Part VI, Section A, Line 4

The board of directors amended the bylaws of the corporation february 16, 2016. The amended bylaws provide greater clarification regarding the general powers and standard of care expected of the board of directors; the expectation of compliance with the conflict of interest policy; election, tenure, voting rights, and quorum requirements; officer duties and responsibilities; the employment of executive staff and the duties of the executive staff; and, various miscellaneous items.

The organization does not have any committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11

A draft form 990 is reconciled with the audited financial statements. Both the draft form 990 and the reconciliation are reviewed and approved by the finance director, chief operating officer, executive director and the governing board treasurer. Upon approval, the draft is submitted to the full board for their review and comments prior to filing.

Form 990, Part VI, Section B, Line 12C

Annual conflict of interest reports provided by the board of directors and officers are reviewed by the chief operating officer. Any potential conflicts would be discussed among the chief operating officer, executive director and board president and/or treasurer. Transactions (if any) with officers, directors or key employees would be reviewed/monitored during weekly check runs, which are reviewed by the finance director and/or executive director. Any interested persons are required to leave the discussion and abstain from voting on the issue.

The board is provided industry salary surveys or other independently produced compensation reports to set and modify salaries of the executive director and chief operating officer, which are also subject to limits from federal funding sources. This review occurs on an annual basis at the october board meeting. Salary levels for all other staff are based on similar positions, restrictions of budgets and funding sources and consideration of compensation levels for comparable positions in the state or region.

Beginning february 16, 2016, the idaho asset building network, funded by the northwest area foundation through a contract with partners for prosperity, connects leaders, service providers, businesses and consumers statewide to help build assets toward economic success. Beginning july 9, 2015, the idaho certified peer specialist endorsement curriculum development and training program, funded through idh&w, works with idaho peers and professionals to build and deliver endorsement trainings that enable idaho peer support specialists to serve select populations. This contract ended june 30, 2016. Beginning in november 2015, the honoring choices idaho program, funded primarily through the st. Luke's and saint alphonsus health systems, promotes advance care planning by providing opportunities for conversations in the context of one's values, empowering individuals to make and document decisions, and helping to ensure health care choices are honored.

Ending july 14, 2015, the covering idaho kids program funded through the usdhhs's center for medicare & medicaid services, enrolled underserved idaho children and teens in medicaid and the children's health insurance program. Ending june 30, 2016, the women's business center, funded by the u.s. Small business administration, provided in-depth start-up feasibility assistance, business planning, consulting, and loan packaging services to socially and economically disadvantaged entrepreneurs with either emerging or established businesses.

PART IV, LINE 2B:

Jannus, inc. Acts as fiduciary or trustee holding cash in separate bank accounts on behalf of clients. Jannus, inc. Is the administrator for parallel savings accounts for the federally-funded refugee savings program, which provides for a 1 to 1 match of federal dollars for participating refugees.

PART X, LINE 2:

Jannus is organized as an idaho nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contributions deduction under section 170(b)(1)(a)(vi), and has been determined not to be a private foundation under section 509(a)(1). Jannus is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, jannus is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. Jannus has determined that it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs. Jannus has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Jannus would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

SERVICES INCLUDE HOME VISITS, PARENT/CHILD EDUCATIONAL PLAYGROUPS, AND CLASSES SUCH AS CPR, MONEY MANAGEMENT, COOKING, AND CHILD DISCIPLINE. DURING THE YEAR, MSEHS SERVED 153 CHILDREN. MSEHS ALSO PROVIDES ASSISTANCE IN LINKING FAMILIES TO NEEDED COMMUNITY RESOURCES IN AREAS OF PREVENTATIVE HEALTH CARE, DENTAL EXAMS, IMMUNIZATIONS, NUTRITION EDUCATION, AND DEVELOPMENTAL SCREENINGS. SOME HIGHLIGHTS OF SUCCESSES ARE MEASURED WITH PARENTS COMPLETING GED COURSES, ENROLLING IN COLLEGE, OR BECOMING A FIRST TIME HOME BUYER.

THE WILSON FISH COOPERATIVE AGREEMENT IS FUNDED BY THE U.S. DEPARTMENT OF HEALTH AND HUMAN SERVICES TO PROVIDE INTERIM FINANCIAL ASSISTANCE, ENGLISH LANGUAGE TRAINING, EMPLOYMENT SERVICES, CASE MANAGEMENT, AND SOCIAL ADJUSTMENT SERVICES TO ASSIST REFUGEES TO BECOME SELF-SUPPORTING AND INTEGRATE INTO THE UNITED STATES.
