Governance Explanations

Form 990, Part VI, Section A, Line 6

The members of the pennsylvania cpa foundation shall be the members of the board of directors of the pennsylvania institute of certified public accountants (picpa), while acting as such directors of picpa, in addition to the directors of the pennsylvania cpa foundation elected as provided for in the bylaws. Such directors shall remain as members during their respective terms in office as director. Each member, however selected, shall have one vote.

Form 990, Part VI, Section A, Line 7A

Four of the seats on the pennsylvania cpa foundation board are filled by picpa board members which are appointed by the picpa president. The remaining board members will be recommended by the picpa nominations committee and elected by the members of the picpa board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then reviewed by management and the audit committee. After management and the audit committee have reviewed, the board will be provided with a copy one week before filing, during which time they can review and comment.

Form 990, Part VI, Section B, Line 12C

The organization has a written conflict of interest policy which is reviewed and acknowledged annually by the board members and officers. This written conflict of interest document is provided to each of the above individuals at the first organizational meeting following the installation of the new leadership at the annual meeting. A signed acknowledgment of compliance with the conflict of interest policy is maintained in the organization's headquarters and is monitored and enforced by michael d. Colgan, executive director. If there is a disagreement or uncertainty as to whether or not a conflict of interest exists, a formal determination will be made by the board. All individuals required to sign the conflict of interest policy have an ongoing duty to disclose conflicts of interest as they arise. In the event that an individual above has a personal interest or a conflict of interest that arises, it must be disclosed in writing to the ceo/executive director immediately. Thereafter, that individual shall refrain from any portion of any meeting when these matters are discussed or considered as their presence could inhibit free discussion of the matter. Minutes of appropriate meetings should reflect that such disclosure was made, and that such person was not present during discussions of, and abstained from voting on, the conflict matter.

The pennsylvania cpa foundation does not compensate any persons. All compensation is paid through the related party, pennsylvania institute of certified public accountants.

The pa cpa foundation is exempt from federal income taxes under section 501(c)(3). The pa cpa foundation was organized to support the pennsylvania institute of certified public accountants, and qualifies as a type i supporting organization. Tax filings are subject to audit by various taxing authorities. The pa cpa foundation follows the income tax standard for uncertain tax positions. The pa cpa foundation believes there are no uncertain tax positions that need to be disclosed in the financial statements.

THE PENNSYLVANIA CPA FOUNDATION PROVIDES OPPORTUNITIES FOR STUDENTS TO LEARN ABOUT CAREER OPTIONS AVAILABLE TO THEM WHEN THEY CHOOSE TO PURSUE AN ACCOUNTING DEGREE. IN ADDITION, THE PENNSYLVANIA CPA FOUNDATION PROVIDES FINANCIAL, EDUCATIONAL, AND CAREER GUIDANCE.A RECORD NUMBER OF STUDENTS HAVE CHOSEN ACCOUNTING AS A MAJOR IN RECENT YEARS, MANY ARE NOT BECOMING CPAS. THIS HAS CREATED A TALENT GAP IN ACCOUNTING FIRMS OF ALL SIZES. LEADERS OF THE PROFESSION CONTINUE TO CITE TALENT ACQUISITION AND RETENTION AS THEIR MOST CRITICAL CHALLENGE.THE PATH TO BECOME A CPA IS NOT AN EASY ONE. BUT WITH THE RIGHT FINANCIAL, EDUCATIONAL, AND MOTIVATIONAL SUPPORT, THE JOURNEY CAN BE LESS ONEROUS. THE PENNSYLVANIA CPA FOUNDATION WORKS TO DELIVER THAT THROUGH CPA EXAM AND LICENSING INFORMATION, UPDATES TO THE CPA EXAM, CPA EXAM SCHOLARSHIP AND MENTORING PROGRAM.WHILE MANY OF THE PENNSYLVANIA CPA FOUNDATION'S PROGRAMS REACH AND SUPPORT MINORITY STUDENTS AMONG PROSPECTIVE CPAS, STUDIES HAVE SHOWN THAT ASPIRING CPAS FROM DIVERSE BACKGROUNDS TEND TO HAVE ADDITIONAL SOCIOECONOMIC CHALLENGES, AND THEIR LIKELIHOOD OF SUCCESS IN PASSING THE CPA EXAM AND BECOMING LICENSED IS MUCH LOWER. THAT IS WHY THE PENNSYLVANIA CPA FOUNDATION DEVELOPED ADDITIONAL PROGRAMS TARGETING THIS GROUP, AND THE EMPLOYERS WHO WILL HIRE THEM. SURVEYS SHOW THAT FIRMS AND OTHER EMPLOYERS CONTINUE TO STRUGGLE TO FIND MINORITY TALENT, AS WELL AS BUILD AND MAINTAIN A CULTURE THAT SUPPORTS INCLUSION.TO INSPIRE STUDENTS TO CONSIDER AN ACCOUNTING CAREER, THE FOUNDATION HOSTED VIRTUAL CAREER DAYS THAT REACHED OVER 5,000 STUDENTS AT MORE THAN 121 HIGH SCHOOLS. 18 COLLEGES AND UNIVERSITIES PARTICIPATED IN THESE VIRTUAL EVENTS. DURING THESE EVENTS STUDENTS LEARNED MORE ABOUT CAREERS IN ACCOUNTING THROUGH PRESENTATIONS BY CPAS WHO WORK IN PUBLIC ACCOUNTING, CORPORATE FINANCE, GOVERNMENT, AND EDUCATION. THEY ALSO LEARNED ABOUT ACCOUNTING MAJORS FROM A PANEL OF STUDENTS WHO TALKED ABOUT THE DEGREE REQUIREMENTS, INTERNSHIPS, THE CPA EXAM AND MANAGING CAMPUS LIFE. AFTER THESE EVENTS, THE PERCENTAGE OF STUDENTS CONSIDERING A MAJOR IN ACCOUNTING INCREASED BY 27%, AND STUDENTS CONSIDERING A CAREER AS A CPA INCREASED BY 31%. THE FOUNDATION ALSO HOSTED TWO ALL-VIRTUAL STUDENT CAREER FAIR WITH 90 STUDENT PARTICIPANTS AND 23 EXHIBITORS. TO PROVIDE FINANCIAL ASSISTANCE TO THOSE PURSUING AN ACCOUNTING CAREER, THE FOUNDATION AWARDED $160,500 IN SCHOLARSHIPS TO 60 COLLEGE STUDENTS AND $22,000 IN SCHOLARSHIPS TO 16 HIGH SCHOOL SENIORS. TO FURTHER SUPPORT ASPIRING CPAS, AN ADDITIONAL $17,000 WAS AWARDED TO 17 CPA EXAM CANDIDATES TO HELP COVER THE COST OF THE EXAM FEES AND REVIEW COURSE FEES. THE FOUNDATION CONTINUED TO PROVIDE STUDENT SUPPORT AND RESOURCES THROUGH THE STUDENT AMBASSADOR PROGRAM ON PENNSYLVANIA COLLEGE AND UNIVERSITY CAMPUSES.
