Mission

The specific purpose of this corporation is to support the charitable purposes of ole health and ole health foundation, including, without limitation, to develop a 30,000 square foot health care facility with primary, behavioral, nutritional, dental, prenatal, pharmacy and vision services, on property located at 300 hartle court in napa, california. Ole's charitable purpose is to engage in providing high quality, comprehensive, prevention-oriented primary care services to the medically underserved in the state of california, and to carry on other charitable activities allowed by law, as determined by the board of directors.

To support the financing and construction of the new south napa campus of ole health.

Governance Explanations

Form 990, Part VI, Section A, Line 7A

Ole health has the power to appoint a simple majority of the organization's board of directors. The remainder may be appointed by ole health foundation, or elected by the existing board.

Form 990, Part VI, Section B, Line 11B

The organization utilized a professional accounting firm to prepare the form 990, who worked in conjunction with ole health's finance and accounting team to gather the required information. Upon review of the form 990 by ole health's management team, a copy of the form 990 and all related schedules and statements was provided to members of the board of directors before filing in order to allow sufficient time for review and comment.

Form 990, Part VI, Section B, Line 12C

Each director, corporate officer, top management official, key employee, and others that the organization may identify annually sign a statement that affirms that they: (i) have received a copy of the conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy, and (ii) will truthfully disclose their financial interests and family relationships that could give rise to any actual or potential conflicts of interests. Each insider with a potential conflict of interest shall promptly disclose to the board all material facts regarding his/her interest in the transaction. The board then reviews the material facts concerning such interested person's interest in the transaction and determine if the interest constitutes a conflict of interest. If a conflict of interest has been found, the board may ask questions of and receive presentations from the insiders and any other interested persons, but deliberates and vote on the transaction in their absence. After exercising due diligence, which may include investigating alternatives that present no conflict of interest, the board determines whether the transaction is in the organization's best interest, for its own benefit, and whether it is fair and reasonable to the organization.

The organization does not compensate its president, other officers, or key employees; rather, these individuals are compensated by ole health, a related organization. As such, part vi, section a, lines 15a and 15b have been answered "no" as mandated by the form 990 instructions.

The organization is a nonprofit corporation under internal revenue code section 501(c)(3) and has been granted tax-exempt status by the internal revenue service and the california revenue and taxation code. As of june 30, 2017 and 2016, the organization had no unrecognized tax positions or uncertain tax positions requiring accrual.
