Annually each director, principal officer, and member of a committee with board delegated powers sign a conflict of interest statement indicating that they have read, understand, and agree to comply with the policy. In connection with any proposed transaction or arrangement that raises an actual or possible conflict of interest, an interested person must disclose the existence and nature of his or her financial interest and must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the proposed transaction or arrangement. Similarly, in connection with any existing, new, or proposed relationship with another organization having some or all of the elements of a compromising affiliation, an interested person must disclose the identity of the organization, the general nature of the organization's business or other activities, and any specific action or business practice commenced (or being considered) by the organization that may raise an actual or possible conflict of interest. The interested person must be given the opportunity to disclose all material facts to the directors and members of committees with board delegated powers considering the compromising affiliation. After disclosure of the financial interest or compromising affiliation and all material facts, and after any discussion among the disinterested members of the board or committee and the interested person, the interested person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.
