Mission

Keplers Literary Foundation ("KLF") is a public forum for information, education, and intellectual discourse to which all members of our community are welcome. KLF aspires to produce programs for people of all ages and backgrounds, including underserved segments of the community such as people from disadvantaged socio-economic backgrounds, senior citizens, people of color, people with special needs, and lesbian, gay, bisexual, and transgender people.

Kepler's Literary Foundation's ("KLF") mission is to engage, enrich, and inspire our community through cultural and literary programs and to otherwise foster intellectual discourse and civic engagement.

Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The tax return is prepared by an outside accounting firm. After completion of said returns, the organization is sent a draft of the tax returns to be reviewed and examined. The organization makes copies of the returns and distributes to those individuals charged with governance. Those individuals at that time can review and if applicable discuss any line items in the return with the accountant who has prepared the return. If all items are found to be acceptable, an authorization is signed and provided to authorize the outside accounting firm to process, sign and provide copies of the returns to be filed (paper or electronically) with the designated governmental agencies. The tax returns are then signed by the organization, stamped and mailed with certified return receipt or the signed form 8879 is provided to the outside accounting firm allowing electronic filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

A "committee" of the Board may be created under the bylaws and authorized to review Transactions and to determine conflicts of interest where reliance on a committee is permitted by law. The members of a committee must consist exclusively of independent directors who are not related to or subject to the control of the Interested Person. Nevertheless, final responsibility for identifying and resolving conflicts of interest rests on the Board.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The salary and other compensation of the officers will be fixed from time to time by resolution of or in the manner determined by the Board. The Board or an authorized committee of the Board will, in compliance with Section 12586(g) of the California Governance Code, review and approve the compensation, including benefits, of the President or Executive Director and the Treasurer to assure that it is just and reasonable. This review and approval will occur upon hiring of the officer, whenever the term of employment, if any, of the officer is renewed or extended, and whenever the officer's compensation is modified.

IRS990/Desc0Current KLF programs include live events that bring people face to face with leading intellectuals. Event formats include lectures, panel discussions, on-stage interviews, educational workshops, literary seminars, and community discussion groups covering the arts, culture, science and current affairs. Our programs involve notable writers, artists, and original thinkers who engage with the community to discuss their ideas, insights, perspectives, and stories.1. Youth Program: The goal of the youth program is to ignite a passion in students for reading and writing. Outstanding writers, artists, and original thinkers meet face to- face with students to discuss the importance and power of storytelling. They discuss topics such as what inspires someone to write, how to harness the imagination, and how to create interesting characters in a story. By focusing on complex topics and character development, these programs encourage students to tackle the challenges intrinsic to their own lives and communities and to find their voice through their own writing.The vast majority of youth events take place in local public schools in the San Francisco Bay Area of Northern California, in cities from San Mateo to Cupertino and in the under-served communities of East Palo Alto and Belle Haven. The seven Title I public schools in the Ravenswood School District in East Palo Alto and Belle Haven are a particular focus because only 32 percent of students in these communities read and write at or above grade level. Most of these students are from low income backgrounds and lack access to any cultural opportunities, much less opportunities that enable them to interact with leading writers and thinkers.Some of the youth programs take place at local public libraries; others are held at Kepler's Books in Menlo Park, California. We work closely with teachers, librarians, and school district staff to organize events for their schools. Most of the youth programs held at public libraries and at Kepler's Books are free and open to the public. All of the youth programs held at public schools are free for the school and students.KLF currently produces 70-100 cultural and literary events annually for local youth. In 2016, nearly 10,000 students benefited from KLF's youth program. 2. General Public Program: KLF offers a nationally recognized program of live cultural and literary events for the general public that covers a range of global and local topics. These events feature a wide variety of public figures, including historians, social commentators, scientists and science writers, physicians, scholars, journalists, educators, novelists, chefs, business and technology leaders, and many other subject matter experts from around the world. The events enable residents of our community to interact with recognized experts face to face and learn from their ideas, insights, and experiences.KLF currently produces 70-100 cultural and literary events per year for the general public. Most of the smaller events take place at Kepler's Books. For larger events, we use a range of venues, including the Menlo Atherton Performance Arts Center in Menlo Park, California; San Mateo Performing Arts Center, Foothill College in Los Altos, California; and the Fox Theater in Redwood City. In 2016, nearly 20,000 people participated in KLF's programs for the general public.3. In Deep with Angie Coiro: KLF co-produces a weekly radio program where veteran journalist Angie Coiro engages newsmakers, writers, and artists in in-depth and thought l discussions in front of a live audience. The program is recorded and broadcast on several radio stations, including KALW and KZSU in the San Francisco Bay Area, WPWC in Washington, D.C., and KTRC in Santa Fe. The program is available free of charge online through iTunes, PRX, and NetRoots Radio.4. Literary Discussion Groups: KLF organizes 8-10 literary discussion groups monthly. Keplers 2020 operates a bookselling business with a social mission enshrined in its articles of incorporation to provide accessibility to literature and education for all members of the community. The two organizations KLF and Keplers 2020, although separate legal entities, work together to fulfill their mutual goals of bringing people together around ideas and books and fostering intellectual discourse and civic engagement in the community.KLF has entered into the Resource Sharing Agreement and the Trademark Agreement with Keplers 2020. This agreement was included in KLFs tax-exemption application. Praveen Madan serves as the Chief Executive Officer, board member and sole shareholder of Keplers 2020 and is a Director of KLF. Neither Mr. Madan nor Keplers 2020 receives any compensation for services provided by Mr. Madan for KLF under either agreement. Further, the rights received by KLF under the Trademark Agreement are free, and the services provided to KLF under the Resource Sharing Agreement are either free or at cost. Pursuant to the Resource Sharing Agreement, the transactions in Section IV took place between KLF and Keplers 2020.Details for Schedule L, Part IV1. After completion of said returns, the organization is sent a draft of the tax returns to be reviewed and examined. The organization makes copies of the returns and distributes to those individuals charged with governance. Those individuals at that time can review and if applicable discuss any line items in the return with the accountant who has prepared the return. If all items are found to be acceptable, an authorization is signed and provided to authorize the outside accounting firm to process, sign and provide copies of the returns to be filed (paper or electronically) with the designated governmental agencies. The tax returns are then signed by the organization, stamped and mailed with certified return receipt or the signed form 8879 is provided to the outside accounting firm allowing electronic filing.
