Governance Explanations

Form 990, Part VI, Section A, Line 6

The guild has members who pay annual dues.

Form 990, Part VI, Section A, Line 7A

The guild members vote for the board of directors.

Form 990, Part VI, Section A, Line 7B

The guild members vote on any bylaw changes before they are implemented.

Form 990, Part VI, Section B, Line 11B

Typically the draft 990 is shared with and reviewed by the finance committee, followed by the executive committee, and then circulated to the full board, prior to filing. However, for fiscal year 2023, due to timing, the draft was only reviewed by the excutive director.

Form 990, Part VI, Section B, Line 12C

Board members and staff are required to complete a conflict of interest form annually. In accordance with the conflict of interest policy, anyone who has a direct or indirect financial interest in a business arrangement with the guild must disclose the interest, and will be prohibited from participating in and voting on the determination to accept or reject the business arrangement.

Form 990, Part VI, Section B, Line 15A

The board of directors generally base the executive director compensation on previous salary paid and current anticipated budget constraints.

Form 990, Part VI, Section C, Line 18

Yearly financials are available in the guild newsletter.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents available on its website.

Additional Explanations

FORM 990, PART IV, LINE 12A:

At the time of filing the tax return, the organization was in the process of being audited. The audit was not complete at the time of filing the tax return. The return was prepared based on the draft financial statement numbers and will be amended if there are any material changes once the audit is completed.

FORM 990, PART IX, LINE 7:

Timber framers guild pays three staff of related organization tfg heartwood inc., including neil godden, listed on form 990, part vii as a highest compensated employee. As a result, these individuals receive their w-2s from timber framers guild, inc. Tfg heartwood inc. Reimburses timber framers guild for these amounts, and so these compensation amounts are excluded from salary expense on the statement of functional expenses.

FORM 990, PART XII, LINE 2C:

The process has not changed from the prior year.

FORM 990, PART XII, LINE 2A:

At the time of filing the tax return, the organization was in the process of being audited. The audit was not complete at the time of filing the tax return. The return was prepared based on the draft financial statement numbers and will be amended if there are any material changes once the audit is completed.

Financial Statement Notes

PART X, LINE 2:

The following is an excerpt from the draft financial statements: the organization has been recognized by the internal revenue service (irs) as exempt from federal income taxes under internal revenue code (irc) section 501(a) as an organization described in irc section 501(c)(3), qualifies for charitable contribution deductions, and has been determined not to be a private foundation. The organization is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the council is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The organization accounts for uncertain tax provisions under fasb asc 740, income taxes, which provides a framework for how entities should recognize, measure, present, and disclose uncertain tax positions in their financial statements. The organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. Management has reviewed the organization's reporting and believes they have not taken tax positions that are more likely than not to be determined to be incorrect by the irs and, therefore, no adjustments or disclosures are required. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods pending or in progress.
