“The by-laws were amended on september 8, 2021. The amended by-laws created a general membership advisory committee, comprised of five to twelve general members, and created a chair and vice-chair of the committee. Further the amendment granted voting rights in the corporation to the chair of the general member advisory committee.”

“Drive forward has three classes of members: founding members, associate members and general members. Founding members are entitled to cast one vote with respect to all matters submitted to founding members. Associate members and general members have no voting rights.”

“Founding members elect the board of directors of drive forward, with the exception of one director who represents the general membership advisory committee.”

“Founding members are each entitled to one vote. Founding members have the right to approve extraordinary actions such as amendments to organizational documents, merger, and sale of all or substantially all of the assets, distribution of the assets, and dissolution of drive forward and revocation of dissolution of drive forward. Founding members may also vote on any other matters where the board of directors seek their approval.”

“There were no committees with authority to act on behalf of the governing body.”

“The draft form 990 will be given to the board of directors for their review and comment prior to execution of the form 990 by an officer of drive forward.”

“Drive forward annually reviews the conflict of interest policy with the officers and directors. If an officer or director believes there is a conflict of interest, the officer or director will promptly report the potential conflict to the board.”

“One of the directors was tasked with determining a range of reasonable compensation for the executive director position. He reviewed compensation information for comparable types of positions and factored in the skills and background of the executive director. Each of the directors then discussed and approved appropriate compensation for the executive director.”

“Drive forward does not make its governing documents, conflict of interest policy and financial statements available to the public.”

“The number of volunteers was calculated by approximating the number of unique participants who attended events and activities to support drive forward's mission. These efforts included meeting with elected officials at the local and state level to lobby for particular legislation, testifying at hearings to raise public awareness of certain issues, participating in member engagement events, and serving on the driver advisory committee, which helps lead the organization. Volunteers contributed anywhere from 1-100 hours.”

“With the adoption of statewide rideshare regulations by the washington state legislature in 2022 drive forward has shifted its work on these issues from advocacy around the legislation to educating our members and the rideshare community on the effects of the new laws. Additionally, we stood up a more robust advocacy and awareness program around the seattle city council's "payup' proposal of a suite of regulations governing non-rideshare app-based workers and platforms.”
